Recitals

WHEREAS, Client requires certain professional services and deliverables as described herein; and

WHEREAS, Service Provider represents that it has the experience, personnel and resources to perform the services in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the services and payment therefor.

Client shall pay all undisputed invoices within the payment period specified above. Overdue amounts shall bear interest at the Late Payment Fee rate and Service Provider may suspend performance after providing written notice and a reasonable opportunity to cure.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Upon termination, Client shall pay Service Provider for all services performed and reasonable costs incurred through the effective date of termination.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for a period of 30 days following receipt of written notice describing the breach with reasonable particularity. Termination for cause shall be without prejudice to any accrued rights or liabilities.

Confidentiality

Each party (the Receiving Party) will hold in confidence and not use or disclose Confidential Information of the other party (the Disclosing Party) except as required to perform obligations under this Agreement. "Confidential Information" includes all non-public commercial, technical and business information disclosed in any form. The Receiving Party shall take reasonable measures to protect Confidential Information, which in no event shall be less than those it uses to protect its own confidential materials of similar importance.

Confidentiality obligations shall not apply to information that (i) becomes public through no fault of the Receiving Party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without use of the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law, provided the Disclosing Party is given prompt notice and reasonable assistance in seeking protective relief.

Representations; Indemnity

Each party represents that it has the authority to enter into this Agreement and that performance will not violate any applicable law or contractual obligation. Service Provider shall indemnify Client against third-party claims arising from Service Provider's negligent performance or willful misconduct in connection with the services. Indemnified parties shall be entitled to recover reasonable attorneys' fees and costs incurred in connection with any such claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation; if unresolved, disputes shall be resolved by final and binding arbitration in the county of the governing state unless the parties mutually agree otherwise.

Independent Contractor; Insurance

Service Provider is an independent contractor and not an employee, agent or partner of Client. Service Provider shall maintain, at its expense, appropriate insurance coverages and provide certificates of insurance upon request.

Entire Agreement; Amendments

This Agreement, including any attachments and statements of work executed under this Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, representations and agreements, whether written or oral. No amendment shall be effective unless in a writing signed by authorized representatives of both parties.

Additional Provisions

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute waiver of any subsequent breach.

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets.
