Parties

This Business WTA Document (the "Agreement") is entered into by and between:

Recitals

WHEREAS, Party A is engaged in the business of providing professional services and related deliverables and has represented that it possesses the necessary experience, expertise, personnel and resources to perform the services described herein; and

WHEREAS, Party B desires to engage Party A to perform certain work to be awarded under the terms and conditions set forth in this Agreement (the "Work to Award" or "WTA") and Party A is willing to perform such work; and

WHEREAS, the parties intend by this Agreement to set forth the scope of the work, payment terms, confidentiality obligations and other material terms governing their relationship.

Definitions

For purposes of this Agreement, "Deliverables" means the tangible or intangible items to be delivered by Party A as specified in the Scope of Work. "Confidential Information" has the meaning set forth in the Confidentiality section below.

Scope of Work

Party A shall perform the services and provide the Deliverables as described below. The scope may be modified only by a written change order signed by authorized representatives of both parties.

Payment Terms

In consideration for the full, timely and professional performance of the Work to Award, Party B shall pay Party A in accordance with the terms below.

Party A shall submit invoices in accordance with the payment schedule. Unless otherwise agreed in writing, Party B shall pay all undisputed invoices within days of receipt.

Late payments shall accrue interest at the rate indicated above, and Party B shall also be responsible for any collection costs and reasonable attorneys' fees incurred to collect overdue amounts.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for cause upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Each party acknowledges that during the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical and financial information, trade secrets, customer lists, pricing, forecasts, software, and any other information reasonably understood to be confidential. Each party agrees to:

  • use Confidential Information solely for the performance of this Agreement;
  • not disclose Confidential Information to any third party except as necessary for performance, and only under a written obligation of confidentiality at least as protective as this Agreement; and
  • take reasonable measures to protect Confidential Information from unauthorized disclosure, which measures shall be no less protective than those it uses to protect its own confidential information.

Confidential Information shall not include information that is or becomes generally known to the public without breach of this Agreement, is rightfully received from a third party without obligation of confidentiality, or is independently developed without use of the disclosing party's Confidential Information. In the event of a compelled disclosure, the receiving party shall give prompt notice and cooperate with the disclosing party to seek protective measures.

Representations; Warranties; Indemnification

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement. Party A warrants that the services will be performed in a professional and workmanlike manner in accordance with generally recognized industry standards. To the extent permitted by law, each party shall indemnify and hold harmless the other party from claims, liabilities, losses and expenses arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for any disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by duly authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest by merger or sale of substantially all assets, provided that the assignee agrees in writing to be bound by the terms of this Agreement.
