Business WVOE Agreement

This Business Written Verification of Employment Agreement (the Agreement) is made effective as of by and between:

WHEREAS

WHEREAS, Client requires formal written verifications of employment (WVOE) for employees or applicants for the purposes of lending, leasing, or other bona fide business needs; and

WHEREAS, Service Provider is experienced and authorized to furnish such verifications and agrees to prepare, verify, and deliver WVOE statements in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective obligations, payment terms, confidentiality requirements, and governing law in a binding agreement.

Scope of Work

Service Provider shall provide written verifications of employment on behalf of Client. Typical WVOE content shall include, where available and permitted by applicable law: employee name, job title, hire date, employment status (active/terminated), most recent pay rate, average hours per week, and employer contact information. Service Provider shall ensure verifications are accurate and signed by an authorized representative.

Payment Terms

Client shall pay Service Provider for WVOE services in accordance with the following payment provisions:

All fees are exclusive of taxes, which shall be the responsibility of Client unless a valid exemption is provided in writing. Service Provider shall invoice Client in writing and Client shall remit payment to the address designated on the invoice.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination for cause shall not relieve Client of the obligation to pay for services rendered prior to termination.

Confidentiality

Each party acknowledges that, in connection with performing under this Agreement, it may obtain confidential or proprietary information of the other party. Each party agrees to maintain such information in strict confidence and not to disclose it to third parties except as required by law, court order, or with the prior written consent of the disclosing party.

Notwithstanding the foregoing, disclosures to an auditor, legal counsel, or as required by applicable law are permitted provided the receiving party uses commercially reasonable efforts to limit disclosure and to obtain confidential treatment where available. Breach of confidentiality shall entitle the non-breaching party to injunctive relief and any other remedies available at law or in equity.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of laws principles.

Entire Agreement

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Client represents that requests for WVOE are lawful and that Client has obtained any required authorizations from employees or applicants for release of employment information where applicable.
