BUSINESS WX DOCUMENT

WHEREAS

WHEREAS, Client Name: (hereinafter "Client") desires to obtain certain professional services; and

WHEREAS, Provider Name: (hereinafter "Provider") represents that it has the experience, personnel and resources to perform such services under the terms set forth in this Business WX Document; and

WHEREAS, the parties wish to set forth their respective rights and obligations in writing effective as of Effective Date: .

SCOPE OF WORK

Provider shall furnish the services, deliverables and work product described below in accordance with the terms and conditions of this Business WX Document.

PAYMENT TERMS

Total Compensation: Client shall pay Provider the total sum set forth below in consideration for performance of the Scope of Work. All sums are payable in U.S. dollars unless otherwise agreed in writing. Unless expressly stated otherwise, amounts exclude taxes for which Client is responsible.

Invoicing: Provider will submit invoices in accordance with the Payment Schedule. Unless otherwise specified, Client shall pay each undisputed invoice within days of receipt.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of per month or the maximum rate permitted by applicable law. Additionally, Client shall be responsible for reasonable collection costs and attorneys’ fees incurred by Provider to recover overdue amounts.

TERM AND TERMINATION

Term: This Business WX Document commences on Start Date: and continues until End Date: or until completion of the Scope of Work, unless earlier terminated in accordance with this section.

Termination for Convenience: Either party may terminate this Business WX Document for convenience upon written notice delivered at least days prior to the effective termination date.

Termination for Cause: Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Upon termination, Client shall pay Provider for all work performed and non‑cancelable obligations incurred through the effective date of termination.

CONFIDENTIALITY

Definition: "Confidential Information" means non‑public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information that: (a) is or becomes publicly known through no breach by the recipient; (b) is lawfully received from a third party without restriction; (c) is independently developed by the recipient; or (d) is required to be disclosed by law or valid legal process, provided the disclosing party is given prompt notice and an opportunity to seek protective measures.

Obligations: The recipient shall (i) use Confidential Information solely for performance under this Business WX Document, (ii) restrict access to employees, contractors and agents who have a need to know and are bound by confidentiality obligations at least as protective as those herein, and (iii) take reasonable measures to protect Confidential Information from unauthorized use or disclosure.

Duration: Confidentiality obligations shall survive termination or expiration of this Business WX Document for a period of except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

INDEMNIFICATION; LIMITATION OF LIABILITY

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against third‑party claims arising out of the indemnifying party’s gross negligence, willful misconduct, or material breach of this Business WX Document. The indemnified party shall provide prompt written notice of any claim and cooperate in the defense at the indemnifying party’s expense.

Limitation of Liability: Except for liability arising from willful misconduct, gross negligence, or a party’s breach of its confidentiality obligations, neither party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages, even if advised of the possibility of such damages. Each party’s aggregate liability for direct damages under this Business WX Document shall not exceed the total fees paid or payable by Client to Provider under this Business WX Document in the twelve (12) months preceding the event giving rise to the claim.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Business WX Document shall be governed by and construed in accordance with the laws of State: without regard to its conflicts of law principles.

Dispute Resolution: The parties shall attempt in good faith to resolve any dispute promptly by negotiation between executive representatives. If the dispute is not resolved within sixty (60) days, either party may pursue any legal or equitable remedies available.

ENTIRE AGREEMENT; AMENDMENT

Provider shall be solely responsible for withholding and paying all employment taxes, benefits and insurance for its personnel.
