BUSINESS YARIS DOCUMENT

Parties

This Business YARIS Document (the Agreement) is entered into by and between:

Recitals

WHEREAS, Service Provider represents that it has the professional skills, experience, personnel and resources necessary to perform the services described in this Agreement; and

WHEREAS, Client desires to engage Service Provider to perform such services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement set forth the full understanding between them with respect to the subject matter hereof.

Scope of Work

Service Provider shall perform the services and deliverables described below in a professional and workmanlike manner, and in accordance with the schedules set forth herein.

Payment Terms

Client shall pay Service Provider for the services performed as follows. All monetary amounts are stated in US dollars unless otherwise specified.

One-time upon completion Monthly installment Milestone-based payments

A late fee of % per month on overdue amounts shall accrue from the due date until paid, not to exceed the maximum amount permitted by applicable law.

Term and Termination

This Agreement will commence on and will terminate on unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Upon termination for any reason, Client shall pay Service Provider for all services performed and reasonable expenses incurred through the effective date of termination. Sections that by their nature survive termination shall continue in full force and effect.

Confidentiality

Each party (Receiving Party) shall hold in strict confidence all non-public information disclosed by the other party (Disclosing Party) that is marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information includes, without limitation, business plans, product designs, financial information, pricing, customer lists, and technical information.

The Receiving Party shall not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. The obligations of confidentiality shall not apply to information that (a) becomes generally available to the public through no fault of the Receiving Party, (b) is rightfully received from a third party without breach of any obligation of confidentiality, (c) was already known to the Receiving Party prior to disclosure as evidenced by written records, or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

Upon termination or at the Disclosing Party's request, the Receiving Party shall promptly return or certify destruction of all materials containing Confidential Information, except to the extent retention is required by law in which case retained Confidential Information shall remain subject to this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve any dispute arising under this Agreement through negotiation between senior representatives. If negotiation fails, the dispute shall be resolved by binding arbitration unless the parties mutually agree otherwise.

Entire Agreement; Amendments

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information provided below or such other address as a party may designate by notice. Notice is effective upon receipt.

Certifications

Each party represents and warrants that: (a) it is duly organized and validly existing under the laws of its jurisdiction; (b) it has the legal right, corporate power and authority to enter into and perform its obligations under this Agreement; and (c) the person signing below on its behalf is duly authorized to bind the party to this Agreement.
