What the Business ZBA Document Is and when it’s used

A Business ZBA Document (Zero Balance Account authorization) is a bank agreement and internal authorization that directs automatic sweeps between a master account and one or more zero-balance subsidiary accounts. It defines sweep rules, limits, signatory authority, file formats for ACH/ADIs, and reconciliation procedures. Companies use it to centralize cash, reduce idle balances, automate payroll or disbursement funding, and document banking and treasury controls between the business and its financial institution.

Why a clear Business ZBA Document matters for treasury controls

A concise, accurate ZBA Document reduces operational errors, prevents unauthorized transfers, and clarifies bank obligations and corporate signatory limits. It also supports auditability and compliance with banking and tax recordkeeping requirements.

Why a clear Business ZBA Document matters for treasury controls

Who typically prepares and approves a Business ZBA Document

The document is most often prepared by finance or treasury and routed for legal and bank acceptance before execution.

Final execution typically requires corporate signatories and any bank-required supporting documents such as a corporate resolution, taxpayer identification, or account signature card.

Core sections to include in a professional Business ZBA Document

A complete ZBA Document combines legal authority, precise bank instructions, operational details, monitoring provisions, and dispute processes to ensure predictable funding behavior and clear audit trails.

Account Owner

Identify the legal business name, DBA if applicable, EIN, and registered address; include the exact account title the bank uses to avoid mismatched records.

Bank Details

List bank name, branch, routing number, master account number, subsidiary account numbers, and any bank reference codes used for sweeps or ACH origination.

Sweep Rules

Define trigger conditions, target zero balance level, buffer thresholds, maximum transfer amounts, timing (e.g., EOD sweeps), and exception handling for insufficient funds.

Authorization & Signatures

Name authorized signers, provide title and specimen signatures, specify whether signatures require notarization, and reference any corporate resolution or board approval.

Reporting & Reconciliation

State frequency and format of bank reports, timing for reconciliation, exception reporting, and responsibility for resolving discrepancies.

Liability & Dispute Terms

Clarify bank liability limits, indemnities, notice procedures for contested transfers, and the governing law for the agreement.

Step-by-step: completing the Business ZBA Document

Follow these sequential steps to prepare, approve, and submit the ZBA authorization so the bank can implement sweeps without interruptions.

  • 01
Draft terms: Define accounts, sweep triggers, and limits in writing.
  • 02
Internal approvals: Obtain controller/CFO and legal sign-off and any required board resolution.
  • 03
Bank review: Send the document to your bank relationship manager for technical acceptance.
  • 04
Execution: All authorized signers execute and return the signed form to the bank.

How to configure the ZBA workflow for online completion

Map each workflow field to the online form and specify authentication, conditional fields, and delivery for signers and the bank.

Field Configuration
Authorized Signer Require name, title, and signature; optional signer authentication
Effective Date MM/DD/YYYY field with calendar picker
Sweep Amount/Threshold Numeric field with validation and currency symbol
Bank Attachment Allow PDF upload for bank account verification or specimen

Where to submit the completed Business ZBA Document

Deliver the signed document to the bank and retain copies for internal control and audit; confirm bank-specific submission preferences.

  • Bank Relationship Manager: Primary recipient for acceptance and technical setup.
  • Treasury Operations: Internal copy for reconciliation and controls.
  • Bank Portal Upload: Some banks require upload through their treasury portal.
  • Email or Physical Mail: Follow bank instruction—some banks insist on original signatures.

Digital signing and eSubmission considerations

Determine the bank’s acceptance of electronic signatures, required authentication, and whether originals are needed before eSubmission.

  • Authentication: Use email, SMS, or stronger KBA per bank policy
  • File formats: PDF and DOCX typically accepted for uploads
  • Integrations: Connect to systems like NetSuite or Google Workspace where supported

If the bank requires originals or notarization, complete those steps before relying on a signed electronic copy for funding or treasury control.

Common preparation mistakes to avoid

  • Using informal or inconsistent account titles that do not match the bank’s records, causing delays or rejected setup requests.
  • Failing to list or verify authorized signers and specimen signatures, which can block execution or require re-submission.
  • Leaving sweep rules vague (for example, 'sweep to cover payroll') rather than stating explicit thresholds, timing, and exceptions.
  • Not confirming the bank’s required submission method (originals, notarized copies, or electronic upload), resulting in extra processing time.
