This Buyer Agreement (the Agreement) is made effective as of (Effective Date), by and between Buyer Name: with address at , and Seller Name: with address at .

RECITALS

WHEREAS, Seller is the owner of certain goods, assets and related rights described as: (the Assets); and

WHEREAS, Buyer desires to purchase the Assets from Seller and Seller desires to sell the Assets to Buyer upon the terms and subject to the conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth their respective rights and obligations with respect to the Purchase and Sale of the Assets.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

Capitalized terms used in this Agreement shall have the meanings set forth herein. "Assets" means the goods, inventory, equipment, intellectual property, contracts, and other rights specifically identified in Exhibit A and any schedules attached hereto. "Closing" means the consummation of the Purchase and Sale as provided in Section 4.

2. PURCHASE AND SALE

Subject to the terms and conditions of this Agreement, Seller agrees to sell, transfer and assign to Buyer, and Buyer agrees to purchase and accept from Seller, all of Seller's right, title and interest in and to the Assets described in Exhibit A.

3. PURCHASE PRICE; PAYMENT TERMS

The aggregate purchase price for the Assets shall be (Purchase Price), subject to adjustments permitted by this Agreement. The Purchase Price shall be payable as follows:

The Closing shall occur on at such location as the parties shall agree in writing. At Closing, Seller shall deliver to Buyer duly executed instruments of transfer and any other documents reasonably required to effect transfer of the Assets, free and clear of all liens and encumbrances except those expressly assumed by Buyer.

5. DELIVERY; INSPECTION; ACCEPTANCE

Seller shall deliver the Assets to the delivery location: . Buyer shall have days after receipt to inspect the Assets and to provide written notice of rejection for nonconforming Assets. Absent timely written rejection specifying the grounds therefor, the Assets shall be deemed accepted.

6. REPRESENTATIONS AND WARRANTIES

Seller represents and warrants to Buyer that: (a) Seller has full right, power and authority to enter into this Agreement and to transfer the Assets; (b) the Assets are owned by Seller free and clear of all liens, claims and encumbrances except those disclosed in writing; and (c) to Seller's actual knowledge, there are no pending actions or claims that would reasonably be expected to prevent transfer of the Assets. Buyer represents and warrants to Seller that Buyer has full power and authority to enter into and perform its obligations under this Agreement.

7. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party, its officers, directors, employees and agents from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of any breach of such party's representations, warranties or covenants under this Agreement, or out of the negligent acts or willful misconduct of such party in connection with the performance of this Agreement.

8. LIMITATION OF LIABILITY

Except for breaches of confidentiality, fraud, willful misconduct or indemnification obligations, neither party shall be liable to the other for consequential, incidental, punitive or special damages. The aggregate liability of each party for any and all claims arising under or related to this Agreement shall not exceed the Purchase Price paid by Buyer.

9. RISK OF LOSS

Risk of loss or damage to the Assets shall remain with Seller until delivery to Buyer at the Delivery Location. From and after delivery, Buyer shall bear all risk of loss and responsibility for insurance and maintenance of the Assets.

10. TAXES AND COSTS

Unless otherwise agreed in writing, Buyer shall be responsible for sales, transfer, use, recording and other taxes, fees and charges (excluding income taxes of Seller) associated with the transfer of the Assets. Each party shall bear its own legal and accounting fees incurred in connection with this Agreement, except as otherwise provided herein.

11. CONFIDENTIALITY

Each party shall keep confidential all nonpublic information obtained from the other party in connection with the negotiation and performance of this Agreement and shall not disclose such information except as required by law or with the disclosing party's prior written consent. This obligation shall survive for a period of two (2) years following the Closing or termination of this Agreement.

12. NOTICES

All notices, requests, demands and other communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) business days after deposit in certified mail, return receipt requested, to the addresses below or such other address as a party may designate by written notice:

13. AMENDMENTS; WAIVER

No amendment or modification of this Agreement shall be effective unless made in a writing signed by authorized representatives of both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party. A waiver of any breach shall not be deemed a waiver of any subsequent breach.

14. COUNTERPARTS; ELECTRONIC SIGNATURE

This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same agreement. Signatures transmitted by electronic means shall be binding and enforceable as originals.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

16. ENTIRE AGREEMENT

This Agreement, together with all Exhibits and Schedules hereto, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

17. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision hereof, and this Agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein.

18. ASSIGNMENT

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld, except that Buyer may assign its rights to a successor in interest in connection with a merger or sale of substantially all of its assets.

19. REMEDIES

The remedies provided in this Agreement are cumulative and in addition to any other remedies available at law or in equity. In the event of a breach by a party, the non-breaching party shall be entitled to recover damages, specific performance, injunctive relief and costs of enforcement, including reasonable attorneys' fees, to the extent permitted by applicable law.
