BUYER BROKER AGREEMENT

Engagement; Term

Effective Date: . The Buyer engages Broker to act as Buyer's real estate broker to identify, evaluate and negotiate the purchase of real property on the Buyer's behalf during the term specified below.

Term: This Agreement shall commence on Effective Date and shall expire on unless earlier terminated in accordance with this Agreement.

Exclusive Right to Represent Buyer — Broker shall be the exclusive agent for Buyer with respect to properties identified during the Term.
Non-Exclusive — Buyer may engage other brokers or locate properties independently.

Property Identification

Broker Duties; Authority

Broker agrees to use reasonable professional efforts to locate suitable property, advise Buyer as to market conditions and property terms, assist with offers and negotiations, and cooperate with other brokers. Broker is authorized to disclose Buyer's financial capability to sellers and cooperating brokers as necessary to effect transactions. Broker shall exercise fiduciary duties to Buyer consistent with applicable law.

Compensation; Payment

Commission: Buyer agrees that Broker's compensation shall be:

Payment: Commission customarily paid by Seller or Listing Broker at closing; and/or Buyer shall pay Broker at closing or as otherwise agreed. If cooperative compensation is offered, Broker may share compensation with cooperating brokers as permitted by brokerage policy.

If no commission is paid at closing, Buyer agrees to pay Broker the agreed compensation within days of notice of termination or closing, whichever is earlier.

Buyer Responsibilities

Buyer agrees to deal exclusively and in good faith with Broker (if Exclusive Engagement selected), provide complete and accurate financial information, obtain any necessary pre-approval for financing, and promptly notify Broker of any change in contact information or intent to purchase a property.

Inspections; Contingencies

Broker shall recommend appropriate inspections and review contingency periods but Buyer retains responsibility to obtain inspections, perform due diligence, and satisfy financing and other conditions of purchase. Broker is not responsible for defects in property or satisfaction of contractual contingencies.

Dual Agency; Disclosure

In the event Broker represents both Buyer and Seller in a transaction (dual agency), Buyer consents declines to such dual agency. Buyer acknowledges receipt of any required agency disclosure forms.

Protection Period

If, within days after expiration or termination of this Agreement, Buyer contracts to purchase a property which Broker introduced to Buyer during the Term, Buyer shall remain obligated to pay the agreed compensation to Broker as set forth above.

Termination

This Agreement may be terminated by mutual written agreement, by either party for material breach if uncured within a reasonable time after written notice, or automatically upon expiration of the Term. Termination shall not relieve obligations that accrued prior to termination, including compensation obligations triggered by the Protection Period.

Default; Remedies

If Buyer fails to perform obligations under this Agreement, Broker may pursue all remedies available at law or in equity, including recovery of agreed compensation and costs. Remedies are cumulative and not exclusive.

Dispute Resolution; Governing Law

Any dispute arising out of this Agreement shall be resolved by arbitration litigation as elected by the non-breaching party. Governing law shall be the laws of the State of .

Indemnification; Insurance

Buyer agrees to indemnify and hold Broker harmless from liabilities, claims and expenses arising from Buyer's negligence, intentional acts, or breach of this Agreement. Broker shall maintain customary professional liability insurance; Buyer is encouraged to maintain appropriate property and liability coverage.

Confidentiality; Records

Broker will maintain confidentiality of confidential information provided by Buyer except as required to perform brokerage services, to comply with law, or with Buyer's consent. Buyer authorizes Broker to retain records relating to services provided under this Agreement.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between Buyer and Broker regarding the subject matter and supersedes all prior negotiations. Any amendment must be in writing and signed by both parties.
