Confidentiality

Confidential Information shall not include information that: (a) becomes publicly known through no wrongful act of the receiving party; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, provided the disclosing party gives prompt notice and cooperates to seek protective measures. Breach of this confidentiality provision may result in irreparable harm for which monetary damages would be inadequate; accordingly, injunctive relief shall be available in addition to other remedies.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, and that execution and performance of this Agreement will not violate any agreement, law, judgment, or order to which it is subject.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising out of this Agreement.

Entire Agreement

This Agreement, including any attachments and any written amendments executed by both parties, constitutes the entire agreement between Buyer and Seller concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.
