All payments shall be made in lawful currency and without deduction or set-off unless required by applicable law. Buyer is responsible for any bank charges associated with remittance unless otherwise agreed in writing.

TERM AND TERMINATION

This engagement shall commence on Start Date: and continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this engagement for convenience upon written notice to the other party no less than prior to the intended termination date. Termination for material breach shall be effective upon written notice if the breach is not cured within thirty (30) days after receipt of notice.

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public information obtained from the other party (the "Disclosing Party") that is marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. The Receiving Party shall use such confidential information solely for the purposes of performing under this engagement and shall take reasonable measures to protect it from unauthorized use or disclosure.

GOVERNING LAW
