BROKER DUTIES

Broker agrees to use professional skill and reasonable efforts to locate properties meeting Buyer’s criteria, present offers, advise Buyer regarding negotiation strategy, and assist in coordinating inspections, financing and closing. Broker shall disclose to Buyer all material information known to Broker that relates to the physical condition, title matters, or material facts affecting the value of a property.

BUYER DUTIES

Buyer shall act in good faith and shall timely provide Broker with required documentation and funds, cooperate in scheduling inspections and showings, and promptly notify Broker of any property or offer that Buyer pursues. Buyer authorizes Broker to submit offers on Buyer’s behalf when instructed.

DUAL AGENCY AND CONFLICTS

Dual agency occurs when Broker represents both Buyer and Seller in the same transaction. Dual agency is permitted only if disclosed in writing and consented to by all parties. Check below if Buyer consents to dual agency for properties where Broker may also represent the Seller.

DISCLOSURES

Buyer acknowledges receipt of the following disclosures and representations to the extent applicable.

FINANCING, INSPECTIONS AND COOPERATION

Broker will assist Buyer in obtaining financing, inspections and other due diligence. Buyer acknowledges that financing and inspection contingencies and deadlines must be set forth in any purchase offer and that Broker’s role is to advise and assist; Buyer is responsible for timely performance under any purchase contract.

TERMINATION; REMEDIES

This Agreement may be terminated by written notice of either party for material breach not cured within ten (10) days or by mutual written agreement. If Buyer enters into a binding purchase agreement for a property identified or negotiated by Broker within the Term or within a mutually agreed protection period, Buyer shall be obligated to pay the agreed compensation to Broker as set forth above. Buyer and Broker acknowledge that injunctive relief and specific performance are available remedies for breach of the non-compete or exclusivity provisions herein in addition to monetary damages.

INDEMNIFICATION; LIMITATION OF LIABILITY

Buyer shall indemnify and hold Broker harmless from claims, liabilities, damages and costs arising from Buyer’s acts, omissions or breach of this Agreement, except to the extent resulting from Broker’s willful misconduct or gross negligence. Broker’s liability for any claim arising from this Agreement shall be limited to direct damages not to exceed the total compensation paid or due to Broker under this Agreement; Broker is not liable for indirect, consequential or special damages.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state in which the majority of services are to be performed. This Agreement contains the entire agreement between the parties regarding Buyer representation and supersedes all prior negotiations and understandings, whether written or oral. Any amendment must be in writing and signed by Buyer and Broker.

MISCELLANEOUS

Notices shall be delivered in writing to the addresses listed above. If any provision is found unenforceable, the remaining provisions shall remain in full force. Time is of the essence for all dates and deadlines in this Agreement and any related purchase contracts.
