What the Buyer Representation Buyers Mandate Is and when it applies

A Buyer Representation Buyers Mandate is a written agreement in which a buyer engages a broker or agent to act on the buyer's behalf during a property search, negotiation, and purchase. It defines the scope of representation, duties owed by the agent, exclusivity and compensation terms, the effective term, and any limitations on authority. The mandate clarifies who may sign offers, how disclosures are handled, and whether the broker can represent multiple parties. Where permitted, the mandate may be executed electronically in accordance with ESIGN and applicable state law.

Why a formal buyers mandate matters for transactions

A written mandate reduces ambiguity about duties, commissions, and authority, helping prevent disputes and conflicts of interest between buyer and broker.

Who typically completes a Buyer Representation Buyers Mandate

These mandates are used by individual buyers, investor groups, and brokerages to document representation terms before active property pursuit.

  • Buyers acting with an agent: Individual homebuyers or investor purchasers who retain an agent for search and negotiation.
  • Brokerage teams: Brokerages and listing/buyer agents formalize team roles and compensation splits.
  • Institutional/investor buyers: Funds and companies that need clear procurement authority and board-level documentation.

Proper execution protects both parties by recording consent, responsibilities, and any time-limited exclusivity or termination provisions.

Notarization failures: Improper acknowledgements delay closings

Common preparation mistakes to avoid

  • Failing to specify whether representation is exclusive or non-exclusive, which leads to commission disputes and unclear duties between the parties.
  • Using vague territory or price-range descriptions that allow the agent to inadvertently bind the buyer to properties outside the intended scope.
  • Not documenting dual agency consent or potential conflicts of interest, increasing risk of trustee-duty claims or regulatory scrutiny.
  • Allowing unsigned or scanned drafts to circulate without clear execution steps, which can create competing versions and evidentiary problems.
