BUYER-SELLER ADDENDUM AGREEMENT

This Buyer-Seller Addendum Agreement (the "Addendum") is made effective as of Effective Date: by and between Buyer Name: (Buyer) and Seller Name: (Seller), collectively the "Parties."

RECITALS

In consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

Capitalized terms not otherwise defined in this Addendum shall have the meanings ascribed to them in the Agreement. For purposes of this Addendum: "Closing" means the consummation of the transaction described in the Agreement; "Title" means marketable fee simple title free of liens and encumbrances except as expressly permitted herein.

2. AMENDMENTS TO THE AGREEMENT

The Agreement is hereby amended by replacing or supplementing the following provisions of the Agreement with the language set forth in this Section. Except as expressly modified by this Addendum, all other provisions of the Agreement remain in full force and effect.

3. PURCHASE PRICE AND ADJUSTMENTS

Any unsatisfied contingencies shall be identified in writing no later than Contingency Deadline: . 6. TITLE AND DELIVERY

Seller shall convey marketable title to the Property by general warranty deed or other agreed instrument at Closing, subject only to Permitted Exceptions: . 7. PRORATIONS AND TAXES

Any special assessments not yet levied shall be the responsibility of the Party required to pay such assessments under the Agreement, except as expressly modified herein.

8. RISK OF LOSS

Risk of loss or damage to the Property prior to Closing shall be governed by the Agreement except as modified: if material damage occurs prior to Closing, the Parties shall follow the mitigation and termination provisions set forth in the Agreement unless the Parties otherwise agree in writing.

9. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other that: (a) it has full right, power and authority to enter into this Addendum and to perform its obligations hereunder; (b) the execution and delivery of this Addendum and the performance of its obligations do not conflict with any other agreement or applicable law; and (c) the individual signing on behalf of any entity has authority to bind that entity.

10. DEFAULT AND REMEDIES

In the event of a material breach of this Addendum, the non-breaching Party shall be entitled to pursue all remedies available at law or in equity, including specific performance, damages, and termination of the Agreement to the extent permitted therein. The Parties expressly reserve the right to seek injunctive relief to enforce the provisions of this Addendum.

11. INDEMNIFICATION

Each Party agrees to indemnify, defend and hold harmless the other Party from and against any and all third-party claims, liabilities, losses or expenses arising from the indemnifying Party's breach of this Addendum or negligent acts or omissions in connection with performance hereunder, except to the extent caused by the indemnitee's gross negligence or willful misconduct.

12. NOTICES

All notices, requests, demands and other communications required or permitted under this Addendum shall be in writing and shall be delivered to the addresses set forth below or such other address as a Party designates by written notice:

This Addendum shall be governed by and construed in accordance with the laws of the Governing State: without regard to conflicts of law principles.

14. ENTIRE AGREEMENT

This Addendum, together with the Agreement and any other documents expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

15. SEVERABILITY

If any provision of this Addendum is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed to give effect to the Parties' intent to the greatest extent possible.

16. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Addendum shall be effective unless in writing and signed by both Parties. A waiver of any breach or default shall not constitute a waiver of any subsequent breach. This Addendum may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
