BUYER TENANT AGENCY AGREEMENT

RECITALS

WHEREAS, Client seeks professional real estate services for locating, evaluating and negotiating the acquisition or lease of real property described generally as:

1. APPOINTMENT; SCOPE OF REPRESENTATION

4. CLIENT OBLIGATIONS

Client shall: (a) provide accurate financial and identification information; (b) cooperate with Agent’s reasonable scheduling requests; (c) promptly review and respond to offers and documents presented by Agent; and (d) promptly provide Agent with notice of any material change in Client’s intent or circumstances.

5. COMPENSATION

10. REPRESENTATIONS, WARRANTIES AND COVENANTS

Each party represents and warrants that it has authority to enter into this Agreement, that the execution and performance will not violate any other agreement, and that all information furnished to the other is true and accurate to the best of such party’s knowledge.

11. INDEMNIFICATION

Client agrees to indemnify and hold Agent harmless from and against any claims, damages or liabilities (including reasonable attorneys’ fees) arising from Client’s breach of this Agreement, negligent acts, intentional misconduct, or inaccurate representations.

Notices shall be sent to the addresses provided above and shall be deemed given when delivered in person, sent by nationally recognized overnight courier, or three days after deposit in the U.S. mail, postage prepaid.

13. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of .
