What the Buyer to Seller Transaction Agreement Is

A Buyer to Seller Transaction Agreement is a written contract that records the terms under which a buyer acquires goods, assets, or property from a seller. It defines parties, purchase price, payment schedule, delivery or transfer conditions, inspections, warranties, and remedies for breach. The agreement creates enforceable obligations when properly executed by authorized signatories and retained as a reproducible record. Use this document to reduce ambiguity, protect rights, and create a clear record for closing, recording, tax reporting, and dispute resolution.

Why a Clear Agreement Matters for Buyers and Sellers

A formal Buyer to Seller Transaction Agreement clarifies obligations, protects consideration, sets closing conditions, and limits disputes. It documents payment mechanics, transfer of title, inspection rights, and remedies, helping parties and third parties (escrow, lenders, title companies) rely on consistent terms.

Why a Clear Agreement Matters for Buyers and Sellers

Who Typically Prepares and Signs This Agreement

The Buyer to Seller Transaction Agreement is used by commercial and individual parties involved in asset transfers, plus their advisors and agents.

  • Buyers and buyer agents who confirm terms and funding details
  • Sellers and authorized officers who transfer ownership and warranties
  • Brokers, escrow officers, and closing agents who facilitate settlement

Knowing common users helps determine required approvals, signatory authority, and whether professional review or notarization is appropriate.

Who Can Sign on Behalf of Each Party

Authorized Signatory

An officer or manager with written authority to bind an organization must sign for corporate parties; verify with board resolution or delegation document to avoid invalidation or challenge.

Escrow/Agent

Escrow officers, title agents, or closing attorneys sign only when acting within the escrow instructions or power granted; their role is to close and distribute funds per the agreement.

Core Sections to Include in a Professional Agreement

A complete Buyer to Seller Transaction Agreement organizes material terms so each party understands obligations, timelines, and remedies; drafts that omit key clauses create risk at closing.

Parties & Recitals

Identify buyer and seller with full legal names, business entity types, and addresses; include a brief recital of the transaction purpose and background facts that led to the sale.

Purchase Price

Specify the exact dollar amount, allocation (if multiple items), deposit/earnest money, and any holdback or escrow conditions tied to adjustments or contingencies.

Description of Property

Provide an unambiguous description of goods or real property (legal description for real estate, serial numbers for equipment) and reference exhibits if needed.

Delivery & Transfer

Set the transfer mechanics (delivery location, risk of loss, passing of title, recording instructions for deeds), and any inspection or acceptance procedures.

Representations & Warranties

Include seller representations on title, liens, condition, and buyer representations about capacity and funding; specify survival and remedies for breaches.

Remedies & Indemnities

Describe breach remedies (damages, specific performance), limitation of liability, indemnification scope, and procedures for dispute resolution or attorney fees.
