BUYER'S AGENCY AGREEMENT

This Buyer's Agency Agreement ("Agreement") is entered into between the undersigned Buyer(s) and the Brokerage/Agent identified below. During the Term defined herein, Brokerage/Agent will act as Buyer's agent to locate, negotiate and procure real property for purchase under the duties, compensation and conditions set forth in this Agreement.

AGENCY TERMS

Buyer appoints Broker as Buyer's agent subject to the following selection of agency relationship:

Exclusive Buyer Agency — Broker solely represents Buyer for properties found during the Term.
Non-Exclusive Buyer Agency — Buyer may engage other brokers; Broker may be entitled to compensation if procuring party.
Exclusive Agency with Reservation — Buyer reserves right to purchase identified property directly without owing commission to Broker if certain conditions apply.

Term: This Agreement begins on and expires on unless earlier terminated in accordance with this Agreement.

COMPENSATION AND PAYMENTS

Broker's compensation shall be:

Compensation shall be payable at closing from proceeds of the transaction, or from the seller, or as otherwise agreed. Buyer acknowledges that other brokers or listing broker may offer cooperative compensation; Buyer remains responsible for any commission not otherwise paid by seller or cooperating broker.

BROKER DUTIES & BUYER OBLIGATIONS

Broker agrees to exercise reasonable skill and diligence in locating properties, advising Buyer as to market conditions, preparing offers and negotiating terms. Broker shall present all offers and counteroffers in a timely manner and disclose material facts known to Broker that affect the value of the property or Buyer's decision.

Buyer agrees to deal exclusively and honestly with Broker, to promptly communicate property interests, to work cooperatively with Broker in scheduling showings and inspections, and to refer any property found by Buyer to Broker during the Term. Buyer will provide accurate financial information necessary to evaluate purchase capability.

DISCLOSURES

Buyer acknowledges the existence of the following potential issues and states whether Buyer has been informed of any such conditions on properties discussed with Broker:

DUAL AGENCY & CONFLICTS

Buyer authorizes Broker to disclose that Broker may represent other buyers and sellers. If Broker or any licensee of the Brokerage represents both Buyer and Seller in the same transaction (dual agency), Broker will obtain Buyer's informed consent in writing and will act in accordance with legal duties applicable to dual agents. Buyer acknowledges the potential limitations of dual agency and agrees to provide written consent where required.

Dual agency consent: I consent to dual agency if disclosed and permitted by law.

TERMINATION, DEFAULT AND REMEDIES

This Agreement may be terminated by mutual written consent or by either party for material breach after a seven (7) day written opportunity to cure. If Buyer breaches and such breach results in Broker incurring a commission entitlement under this Agreement, Buyer shall be liable for reasonable costs and damages, including commission and collection costs. Broker's remedies shall be cumulative and include injunctive relief and specific performance where applicable.

INDEMNIFICATION & INSURANCE

Buyer agrees to indemnify and hold harmless Broker and Brokerage from claims, losses or expenses arising from Buyer's failure to disclose material facts, Buyer's misrepresentations, or Buyer's breach of this Agreement. Broker recommends Buyer maintain appropriate property and purchase-related insurance as may be prudent.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state in which the property is located. This Agreement contains the entire understanding of the parties with respect to the subject matter and supersedes all prior oral or written agreements. Any amendment must be in writing and signed by both parties.
