What a Buyer’s Agreement Covers

A Buyer’s Agreement is a negotiated contract that records the terms under which a buyer agrees to purchase goods, services, or real property from a seller. It typically specifies parties, the item or property description, price and payment terms, contingencies, inspection and acceptance provisions, closing mechanics, and signatures. The agreement creates enforceable obligations when executed by authorized signatories and provides the basis for remedies, deposit handling, escrow, and transfer of title where applicable.

Why a Clear Buyer’s Agreement Matters

A well-drafted Buyer’s Agreement reduces ambiguity about price, timing, and responsibilities, protects deposits and financing contingencies, and improves enforceability under federal and state e-signature laws such as ESIGN (15 U.S.C. ch. 96) and UETA where adopted.

Why a Clear Buyer’s Agreement Matters

Who Typically Prepares and Signs This Agreement

Buyers, sellers, brokers, attorneys, lenders, and escrow or title agents commonly interact with Buyer’s Agreements depending on transaction type.

  • Real estate buyers and listing agents completing property purchase contracts and disclosures for closing and recording.
  • Procurement managers or purchasing agents negotiating terms for goods and services with vendors.
  • Corporate buyers and in-house counsel approving commercial purchase terms and warranty or IP assignments.

Each participant’s role determines required fields, approval routing, and whether notarization, witnesses, or recording will be necessary.

Core Elements to Include in a Professional Buyer’s Agreement

Include six standard sections so the agreement is complete and enforceable across common use cases.

Parties

Identify buyer and seller using full legal names and entity types, including contact details and authorized signers for corporate parties.

Description

Describe the goods or real property precisely, including addresses, serial numbers, fixtures, or schedule references to exhibits when applicable.

Price and Payment

State the purchase price, earnest money, payment schedule, escrow instructions, financing contingencies, and consequences for late payment.

Contingencies

List inspection, financing, appraisal, title review, and regulatory approvals, including deadlines and required notices to invoke or waive contingencies.

Closing & Transfer

Define closing date, deed or bill of sale mechanics, delivery of funds, prorations, and conditions precedent to transfer of title or ownership.

Signatures & Dates

Provide signature blocks for authorized signers, dates, and spaces for witness or notary acknowledgements when required by law or practice.

Date by which buyer must complete inspections

Financing Contingency:

Cutoff for loan approval or waiver

Closing Date:

Common Errors to Avoid When Preparing the Agreement

  • Using abbreviated or informal names that do not match government or corporate records, risking enforceability or title issues.
  • Leaving contingencies vague or without explicit deadlines, which creates disputes over whether obligations were satisfied or waived.
  • Failing to specify payment mechanics, escrow instructions, or acceptable forms of funds, creating settlement delays at closing.
  • Not routing to all required signatories or failing to capture witness/notary fields when jurisdiction or recording requires them.

Consequences of Errors or Incomplete Agreements

Breach Claims: Damages, specific performance
Deposit Loss: Forfeiture or escrow disputes
Title Defects: Delayed or barred transfer
Tax Reporting: Incorrect 1099 or withholding
Regulatory Risk: HIPAA/SEC compliance exposure
Contract Voidance: Unenforceable terms
