This C2C Pools Agreement ("Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Provider maintains a pool of qualified personnel, contractors, consultants and related resources ("Pool Resources") available for assignment to client engagements on a corp-to-corp basis; and

WHEREAS, Client desires to engage Provider to supply Pool Resources under the terms and conditions set forth herein, and Provider wishes to make such resources available to Client on a non-exclusive basis; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Provider for Pool Resources in accordance with the rates and schedule set forth below. Except as otherwise agreed in a written work order, the following payment provisions apply:

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for a period of days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses reasonably incurred prior to termination.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, personnel information, pricing, trade secrets, and technical information.

Obligations: The receiving party shall (a) use Confidential Information solely for performance of this Agreement; (b) restrict disclosure to those employees, contractors or agents with a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure.

Exceptions: Confidential Information shall not include information that is (i) publicly known without breach of this Agreement; (ii) rightfully received from a third party without restriction; or (iii) independently developed without use of the disclosing party's Confidential Information. Disclosure required by law or valid order of a court or governmental authority shall not be a breach provided the receiving party gives prompt written notice and cooperates with the disclosing party to seek protective measures.

INDEMNIFICATION AND INSURANCE

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against third‑party claims arising out of the indemnifying party's gross negligence, willful misconduct or breach of its obligations under this Agreement, subject to the limitations set forth herein.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties shall first attempt to resolve disputes through good faith negotiation; if unresolved, disputes shall be resolved by binding arbitration in the county where the Provider's principal place of business is located, unless the parties agree otherwise in writing.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign this Agreement in connection with a sale of all or substantially all of its assets or a merger.

Relationship of Parties: Provider and Client are independent contractors. Nothing in this Agreement shall create a partnership, joint venture, employment relationship, or agency except as expressly set forth in a signed statement by authorized representatives of both parties.

ENTIRE AGREEMENT

This Agreement, together with any attached schedules and executed work orders referencing this Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
