Cabinet Installation Subcontract

This Cabinet Installation Subcontract ("Subcontract") is entered into as of Effective Date: by and between Contractor Name: with principal place of business at ("Contractor"), and Subcontractor Name: with principal place of business at ("Subcontractor").

WHEREAS

WHEREAS, Contractor has entered into a prime contract to perform certain work on the project described as Project Name: (the "Prime Contract"); and

WHEREAS, Contractor desires to engage Subcontractor to furnish labor, materials and services for cabinet installation as more particularly described below, and Subcontractor represents that it has the skill, experience and license to perform such work.

WHEREAS, the parties intend that the terms of this Subcontract will govern the relationship between them with respect to the Work described herein.

Scope of Work

Subcontractor shall furnish all labor, materials, equipment and supervision necessary to perform cabinet installation and related services (collectively "Work") at the Project in accordance with the Prime Contract, manufacturer instructions, and industry standards. Specific tasks and deliverables are described below and in any approved change orders.

Schedule

Subcontractor shall commence Work no earlier than Start Date: and shall achieve Substantial Completion by Completion Date: , subject to approved change orders and excusable delays.

Payment Terms

Contract Price: Contractor shall pay Subcontractor the sum of $ for full performance of the Work, subject to additions or deductions by approved change order.

Any undisputed amount not paid within days after invoice due date shall accrue interest at or the maximum rate permitted by law, whichever is less.

Change Orders

All changes to the Scope of Work, price or schedule shall be made only by written change order signed by Contractor and Subcontractor. Subcontractor shall promptly prepare pricing and schedule impacts upon request and shall not proceed with changed work without a signed change order.

Term and Termination

Term: This Subcontract commences on Start Date: and, unless earlier terminated in accordance with this Subcontract, shall terminate on End Date: .

Either party may terminate for convenience upon written notice of days. Contractor may terminate for cause if Subcontractor fails to cure a material breach within days after written notice.

Confidentiality

Subcontractor shall keep confidential and not disclose to any third party any non-public information disclosed by Contractor or Owner in connection with the Work, except as required by law or as necessary to perform the Work. Confidentiality obligations shall survive termination for a period of years.

Insurance, Licenses and Compliance

Subcontractor shall maintain insurance coverages and licensing required by law and by the Prime Contract, including commercial general liability with limits of at least $ and workers' compensation as required. Subcontractor shall provide certificates upon request and shall comply with all applicable laws, codes and regulations.

Warranties

Subcontractor warrants that the Work will be free from defects in materials and workmanship for a period of months from final completion. Subcontractor shall correct defects at its expense in a timely manner.

Indemnification

Subcontractor shall indemnify, defend and hold harmless Contractor and its agents from and against liabilities, claims, losses and expenses arising out of Subcontractor's performance of the Work, to the extent caused by Subcontractor's negligence or breach of this Subcontract, except to the extent caused by Contractor's negligence.

Governing Law

This Subcontract shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Subcontract, together with any written exhibits and approved change orders, constitutes the entire agreement between the parties with respect to the Work and supersedes all prior negotiations, representations and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

Miscellaneous

Assignment: Neither party may assign this Subcontract without the prior written consent of the other, except that Contractor may assign to its lender or successor to the Prime Contract. Notices shall be in writing and delivered to the addresses provided above or as otherwise notified in writing.
