DEFAULT, REMEDIES & PROTECTION PERIOD

If Owner breaches this Agreement or materially withdraws cabinets during the Listing Term, Owner shall be liable for Broker's earned commission and reasonable costs. Owner agrees that if, within days after termination, Owner sells to a party introduced by Broker, Broker shall be entitled to commission as if sale occurred during the Listing Term.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages and expenses arising from that party's breach of this Agreement, negligence or willful misconduct, except to the extent caused by the other party.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state where the cabinets are located. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

Notices required by this Agreement shall be delivered to the contact addresses provided above. If any provision of this Agreement is held invalid, the remainder shall remain in full force and effect.
