What the CAD LOA Letter of Authorization Is

The CAD LOA Letter of Authorization is a written document that grants a named party permission to access, reproduce, modify, or transmit computer-aided design (CAD) files or act on behalf of an owner for CAD-related tasks. It clarifies scope, duration, and any restrictions on use of CAD assets, and helps establish chain-of-custody and intellectual property expectations between the originator and the authorized party.

Why a CAD LOA Matters for Projects and Compliance

A clearly drafted CAD LOA reduces ambiguity over who may use design files, protects IP and client data, and documents consent for modifications. It supports project continuity, limits downstream disputes, and creates an auditable record of authorization.

Why a CAD LOA Matters for Projects and Compliance

Who Typically Prepares and Signs a CAD LOA

Organizations and individuals involved in design, construction, manufacturing, or facilities management commonly use CAD LOAs to control access and preserve IP.

  • Design firms and architects granting contractors controlled access to project drawings for fabrication and site work.
  • General contractors and subcontractors requesting authorization to adapt CAD files for construction means and methods.
  • Manufacturers or fabrication shops receiving CAD files to produce parts, fixtures, or custom components.

Use this template when a third party, vendor, contractor, or internal team requires explicit permission to work with or distribute CAD files.

Who Signs and Their Typical Roles

Design Owner

The company or individual who created or owns the CAD files. They must confirm scope, IP ownership, permitted uses, and any confidentiality or licensing terms before granting authorization.

Authorized Agent

The third party (vendor, contractor, consultant) who will receive and act on the CAD files. The agent's signature accepts the stated limits, responsibilities, and any nondisclosure or destruction obligations.

Core Elements Every Professional CAD LOA Should Include

A complete CAD LOA combines identification, scope, duration, security, and signature elements to make authorization clear and legally defensible.

Parties

Full legal names and contact information for the design owner and the authorized party, including business address and a designated project contact for notices.

Scope

Precise description of permitted actions (view, copy, modify, distribute), file types, and limits such as read-only access or single-use fabrication rights.

Duration

Effective and expiration dates, plus conditions for early termination or automatic revocation following project milestones or final delivery.

Confidentiality

Any nondisclosure obligations, handling rules for sensitive layers or embedded metadata, and instructions for secure transmission and storage.

Intellectual Property

Statement of ownership, license terms if applicable, and restrictions on derivative works, resale, or sublicensing.

Signatures and Authentication

Signature blocks for authorized signers, required notarization or witness statements if applicable, and any acceptable electronic signing methods.

Step-by-Step: Completing a CAD LOA

Follow these sequential steps to draft, authorize, and deliver a compliant CAD LOA.

  • 01
Identify Parties: Record full legal names and contact details for owner and recipient.
  • 02
Define Scope: Specify exact file types, permitted actions, and any usage limitations.
  • 03
Set Dates: Enter effective and expiration dates or link to project milestones.
  • 04
Sign and Deliver: Obtain authorized signatures and provide copies to all stakeholders.

How to Configure an Online CAD LOA Workflow

Configure a digital workflow to streamline delivery, eSigning, and audit capture for CAD LOAs.

Upload Document PDF or DOCX with fillable fields
Add Fields Place signature, date, and initial fields
Set Signer Order Assign owner then recipient signing sequence
Authentication Email link, SMS code, or stronger verification
Delivery Send signed copies to all parties automatically

Digital Authorization Flow for CAD Files

A typical eAuthorization path reduces friction while preserving legal evidence of consent.

  • Draft LOA: Owner prepares the CAD LOA with precise scope.
  • Upload Files: Attach CAD files or provide secure link references.
  • Request Signature: Send the LOA to the authorized party for signing.
  • Audit and Archive: Capture timestamps, IP, and store final copies securely.

Technical Considerations for eSigning and File Exchange

Ensure the chosen platform supports required file formats, authentication, and secure storage for CAD-related documents.

  • File Formats: PDF, DOCX for LOA; .dwg, .dxf for CAD files
  • Integrations: Connectors for Google Workspace, Box, Procore
  • Security: TLS in transit; AES-256 at rest

How a CAD LOA Differs from a Power of Attorney

Compare scope and formalities to determine which document fits your needs: a CAD LOA is narrowly scoped, while a POA grants broader authority.

Criteria CAD LOA Power of Attorney
Notarization Required usually no often yes
Scope specific file actions broad legal acts
Duration defined period variable, often longer
Revocable typically yes may be restricted

Typical Timing and Deadlines to Track

Document dates and prompt delivery of signed copies help avoid access disputes and project delays.

Request Timing:

Provide LOA before file transfer or first fabrication run

Signature Deadline:

Set a clear due date in MM/DD/YYYY format

Access Activation:

Activate file access on the effective date only

Expiration:

Enforce expiration date or milestone-based termination

Record Retention:

Store signed LOAs for the applicable retention period

Practical Tips for Accurate, Fast CAD LOA Execution

Adopt consistent templates, clear scope language, and auditable delivery methods to reduce friction and risk.

Use precise technical language
Describe allowed file extensions, layers, and permissible edits specifically. Vague terms like 'use as needed' lead to disputes and unintended license scope.
Limit distribution and include handling rules
Specify secure transfer methods, storage encryption expectations, and who may redistribute the files. This minimizes accidental disclosure and preserves confidentiality.
Record the authorization event
Capture timestamps, signer identity, and delivery records. An audit trail preserves evidence of consent and supports remediation if conflicts arise.
Review for IP and export controls
Confirm the LOA does not inadvertently transfer ownership and consider export-control restrictions for technical drawings that may be subject to regulation.

Common Pitfalls to Avoid When Preparing a CAD LOA

  • Using ambiguous scope language that allows unintended modifications or sublicensing.
  • Failing to match legal names or signatory authority which can render the LOA ineffective in disputes.
  • Sending CAD files prior to obtaining signed authorization, creating risk of unauthorized use.
  • Neglecting to record the signing event or to retain an auditable copy for the required retention period.

Key Data and Security Items to Include

File Types: List CAD formats
Access Method: Secure link or encrypted transfer
Authentication: Email, SMS, or MFA
Encryption: AES-256 at rest
Audit Trail: Timestamped activity log
Retention: Store per policy

Legal and Operational Risks of an Incorrect LOA

Unauthorized Use: Liability exposure
IP Loss: Unclear ownership risks
Contract Disputes: Project delays and claims
Regulatory Violations: Industry-specific fines
Data Breach: Exposure of sensitive files
Invalid Signature: Enforceability issues

Two Practical CAD LOA Scenarios

Examples show how scope and controls vary by use case and why precision matters.

Fabrication Authorization

A manufacturer requests permission to produce parts from .dwg files

  • Limited to fabrication of specified part numbers
  • The LOA specifies permitted quantities, a one-year expiration, nondisclosure of tolerances, and mandatory destruction of files after production completes.

Subcontractor Access

A subcontractor needs as-built layer edits to update site drawings

  • Authorized only to mark field changes, not to create derivative designs
  • The LOA requires version control, sends signed copies to the owner, and revokes access once final acceptance is recorded.
