Recitals

WHEREAS, Client Name: desires calibration services for certain measuring instruments and associated equipment;

WHEREAS, Service Provider Name: represents that it is qualified to perform calibration services in accordance with applicable standards and agrees to perform such services under the terms set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

Scope of Work

Service Provider shall perform calibration and associated services for the items described below. The scope shall include measurement, adjustment (where authorized), documentation of results, issuance of certificates, and retention of traceability records as required by accepted calibration standards.

Payment Terms

Client agrees to pay Service Provider the fees set forth below in consideration for the services described herein. Unless otherwise agreed in writing, payments shall be made in accordance with the schedule below. Service Provider may withhold final deliverables until payment is received in full.

Invoices unpaid beyond days are subject to a late charge of per month, or the maximum permitted by law, plus reasonable collection costs.

Term and Termination

This Agreement commences on the Start Date set forth below and continues until the End Date or until services are completed, unless earlier terminated as provided herein. Either party may terminate for convenience upon written notice to the other party as provided below.

If terminated by Client without cause, Client shall pay for all work performed, parts ordered, and reasonable demobilization costs through the effective termination date.

Confidentiality

Each party shall keep confidential all non-public technical, commercial, and business information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties except to its employees and subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidential information does not include information that is or becomes publicly known through no breach by the receiving party, is rightfully received from a third party without duty of confidentiality, or is independently developed.

Limitations and Warranties

Service Provider warrants that calibration services shall be performed in a professional manner consistent with industry practice and to the calibration standards identified in this form. EXCEPT FOR THE FOREGOING WARRANTY, SERVICES ARE PROVIDED "AS IS" AND SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Except to the extent caused by Service Provider's gross negligence or willful misconduct, Service Provider's liability for claims arising from or relating to this Agreement shall be limited to direct damages not to exceed the fees paid to Service Provider under this request for the specific equipment giving rise to the claim. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

Shipping, Risk of Loss, and Acceptance

Unless otherwise agreed in writing, Client is responsible for shipping and insuring equipment to Service Provider's facility. Risk of loss remains with Client until Service Provider receives equipment, and returns shipment is at Client's risk unless otherwise agreed. Equipment will be returned with calibration documentation; Client shall inspect deliverables within ten (10) business days and notify Service Provider in writing of any nonconformance. Failure to timely notify shall be deemed acceptance.

Governing Law and Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. This Agreement, including any attachments and accepted purchase orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

Acceptance

By signing below, Client requests the services described herein, acknowledges review of Service Provider's terms contained in this form, and authorizes Service Provider to proceed in accordance with this request and the accompanying terms. Client certifies that Client has authority to approve the requested work and incur the associated fees.
