Pursuant to the Limited Partnership Agreement and related governing documents (collectively, the Agreement) between the General Partner and the undersigned Investor, the General Partner hereby issues this Capital Call Notice requesting a Capital Contribution as set forth below. The terms set forth in this Notice are issued in accordance with the Agreement and the Investor's commitment obligations.

Payment must be received in immediately available funds by the Due Date. Wire transfer is the preferred method. Payment reference must include the Fund name and Investor Account Reference above.

Allocation, Application & Tax Withholding

Contributions received shall be credited to the Investor's capital account and applied in accordance with the Agreement. The General Partner reserves the right to deduct or reserve amounts necessary to satisfy applicable tax withholding obligations, fees, or other liabilities as provided in the Agreement. Any tax withholding or administrative deductions will be itemized on the Fund's next statement to the Investor.

Default; Remedies; Interest

If the Investor fails to deliver the Capital Contribution in full by the Due Date, the General Partner may exercise any or all remedies specified in the Agreement, including without limitation: (a) charging interest on the overdue amount at an annual rate of ; (b) imposing late fees in the amount of ; (c) suspending distributions to the Investor; (d) reducing or reallocating the defaulting Investor's interest; and (e) pursuing specific performance, damages, and recovery of collection costs and attorneys' fees.

The foregoing remedies are cumulative and in addition to any other remedies available under the Agreement or at law or in equity. The General Partner's election to pursue any remedy shall not constitute a waiver of any other remedies.
