Failure to Pay: If the Limited Partner fails to pay the amount due by the Required Payment Date or other date specified herein, the General Partner may exercise any rights and remedies under the governing documents, including but not limited to charging interest on overdue amounts at the rate specified in the Limited Partnership Agreement, imposing late fees, adjusting distributions, declaring the Limited Partner in default, diluting the Limited Partner's interest, or applying any available reserves to satisfy the obligation. The General Partner's remedies are cumulative and not exclusive.

Application of Payments: Payments received shall be applied first to fees and expenses expressly chargeable to the Limited Partner, then to interest and late charges, and thereafter to principal called under this notice unless otherwise specified in writing by the General Partner.

Waiver and Amendments: Any waiver or amendment of the terms of this Capital Call must be in writing and signed by the General Partner. No failure or delay by the General Partner in exercising any right is a waiver of that right.

Governing Law: This notice is governed by and construed in accordance with the governing law set forth in the Limited Partnership Agreement. Venue for disputes arising from this notice shall be as provided in the governing documents.
