CAPITAL CONTRIBUTION AGREEMENT

This Capital Contribution Agreement (the Agreement) is made and entered into as of (Effective Date), by and between , a -organized entity (the Company), and (the Contributor). The Company and the Contributor are each a Party and collectively the Parties.

RECITALS

WHEREAS, the Company desires to accept, and the Contributor desires to make, a capital contribution to the Company subject to the terms and conditions set forth in this Agreement; and WHEREAS, the Parties desire to set forth the amount, nature, timing and effects of such contribution and the rights and obligations of the Parties in respect of such contribution.

CONTRIBUTION

1. Contribution. Subject to the terms and conditions of this Agreement, Contributor shall contribute to the Company the assets described below (the Contribution) on or before (the Closing).

Cash Property or Other Non-Cash Consideration

2. Capital Account. Upon contribution of the Contribution at Closing, the Contributor shall receive a capital account credit in the amount equal to the agreed value of the Contribution for purposes of the Company's capital accounts (the Capital Account). The initial Capital Account and the corresponding percentage interest in the Company shall be:

REPRESENTATIONS AND WARRANTIES

3. Contributor Representations. Contributor represents and warrants to the Company that: (a) Contributor has full power, authority and legal right to deliver the Contribution; (b) the Contribution is free and clear of all liens, encumbrances and third-party claims, except as disclosed to the Company in writing; (c) no consent or approval of any third party is required for Contributor to perform this Agreement; and (d) the execution and performance of this Agreement by Contributor will not violate any agreement or law binding on Contributor.

4. Company Representations. The Company represents and warrants to Contributor that the Company is duly organized and validly existing under the laws of and has the requisite power and authority to enter into this Agreement and to accept the Contribution.

CLOSING & CONDITIONS

5. Closing. The Closing shall occur at such time and place as the Parties may agree, but no later than . At the Closing, Contributor shall deliver the Contribution free and clear of liens and the Company shall take such steps as are reasonably necessary to reflect the Contributor's interest in the Company's records.

TAX MATTERS; ACCOUNTING

6. Tax Treatment. The Parties shall report the Contribution and allocations in accordance with applicable federal, state and local tax laws and consistent with the Company's governing documents. Contributor acknowledges that Contributor is responsible for all tax consequences relating to the Contribution.

TRANSFER RESTRICTIONS; ASSIGNMENT

7. Transfer Restrictions. Contributor acknowledges that the Contributor's interest may be restricted by the Company's governing documents and applicable law. Any purported transfer in contravention of such restrictions shall be null and void.

DEFAULT; REMEDIES

8. Default. Except as otherwise provided in this Agreement or the Company's governing documents, a failure by Contributor to perform any material obligation under this Agreement shall constitute a default. Upon default, the non-defaulting Party shall be entitled to pursue all remedies available at law or in equity, including specific performance, injunctive relief and damages.

INDEMNIFICATION

9. Indemnification. Each Party shall indemnify and hold harmless the other Party from and against any losses, liabilities, damages, costs or expenses (including reasonable attorneys' fees) arising out of any breach of its representations, warranties or covenants under this Agreement, except to the extent caused by the indemnified Party's gross negligence or willful misconduct.

MISCELLANEOUS

10. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.
