TERM AND TERMINATION

Either party may terminate this Amendment upon written notice to the other if the other party materially breaches this Amendment or the Agreement and fails to cure such breach within the notice period specified above. Termination of this Amendment does not relieve the parties of obligations that accrued prior to the effective date of termination.

CONFIDENTIALITY

The parties acknowledge that information exchanged in connection with the Agreement and this Amendment may constitute Confidential Information. Each party shall protect such Confidential Information using at least the same degree of care it uses to protect its own confidential information, and shall not disclose such information except as permitted by the Agreement or required by law. Confidentiality obligations survive termination of the Agreement and this Amendment for the period set forth in the Agreement or, if none, for three (3) years.

GOVERNING LAW

The Agreement, as amended by this Amendment, shall be governed by and construed in accordance with the laws of the state set forth above, without regard to conflicts of law principles.

ENTIRE AGREEMENT; MISCELLANEOUS

This Amendment, together with the Agreement, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter. Except as expressly amended hereby, all provisions of the Agreement remain unchanged and in full force and effect.

No amendment to this Amendment or the Agreement will be effective unless in writing and signed by authorized representatives of both parties. If any provision of this Amendment is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
