Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above. Termination does not relieve the Purchaser of any payment obligations for offsets already retired or irrevocably transferred prior to termination.

Confidentiality

Each party agrees to keep confidential all non-public commercial terms and project-specific data disclosed under this Agreement for a period of years following termination, except as required by law or as necessary to effect registry retirement, audit, or transfer to a successor. Confidential information does not include information that is or becomes publicly available other than by breach of this clause.

Representations, Warranties and Indemnity

Provider represents and warrants that: (a) it has good and marketable title to the offsets described herein and has not previously retired, sold, or otherwise encumbered those offsets; (b) the offsets were issued by the registry identified above and were generated in accordance with the specified verification standard; and (c) to the best of Provider's knowledge, there are no pending claims or litigation affecting the Project's offsets.

Purchaser represents that payment will be made in accordance with the Payment Terms. Each party will indemnify and hold harmless the other party from and against any third-party claims, losses, or liabilities arising from breach of its representations, willful misconduct, or gross negligence in connection with this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for disputes arising out of or relating to this Agreement.

Entire Agreement
