CARDMEMBER SERVICES AGREEMENT

This Cardmember Services Agreement (the Agreement) sets forth the terms and conditions governing the credit card account and related services established by the Issuer and the Cardmember. By signing below, the parties agree that the Cardmember will be bound by the terms herein and that the Issuer may provide services, disclose information, and change terms as permitted by this Agreement.

Definitions

“Account” means the credit account established pursuant to this Agreement. “Card(s)” means any credit card, account number, device, or access method issued to or for the Cardmember’s benefit. “Issuer” means the entity identified above as issuer of the Account. “Cardmember” means the individual or entity identified above who agrees to these terms.

Use of Account and Cards

The Cardmember agrees to pay for all Purchases and other transactions made with the Card, whether made by the Cardmember or by an Authorized User. The Issuer may establish a Credit Limit for the Account and may change that limit at its discretion. Current Credit Limit:

Billing, Statements, and Payments

Billing Cycle: The Account is billed once each billing cycle. Statement Closing Day: . Payment Due Date: The payment is due at least 21 days after the statement closing date unless otherwise required by law.

The minimum payment each period will be the greater of (a) the required percentage of the New Balance as set below, or (b) the past due amount plus fees and interest. Minimum payment percentage:

The following rates and fees apply to the Account unless otherwise disclosed in writing prior to card issuance. Interest rates are expressed as annual percentage rates (APR).

Interest is calculated using the Average Daily Balance method (including new transactions) unless a different method is disclosed in a separate written notice. Interest will accrue from the date of each transaction unless the Account is paid in full by the Payment Due Date.

Payments and Default

If the Cardmember fails to make any minimum payment by the Payment Due Date, the Issuer may assess late fees, increase the APR as permitted by law, restrict Account access, and accelerate amounts owed. Default may also result from bankruptcy, insolvency, or materially false information provided to the Issuer.

Liability for Unauthorized Use

Except as otherwise limited by applicable law, the Cardmember is liable for all authorized charges and for any unauthorized use resulting from the Cardmember’s failure to exercise reasonable care in safeguarding the Card or card information. If the Card is lost or stolen, the Cardmember must notify the Issuer promptly.

Disputes and Billing Errors

The Cardmember must notify the Issuer of billing errors and disputes in writing as required by applicable billing error procedures. The Issuer will investigate and respond in accordance with applicable law. Disputes that cannot be resolved may be subject to arbitration if the arbitration agreement below applies.

The parties may agree that most disputes arising out of or relating to this Agreement will be resolved through binding individual arbitration rather than in court, except for claims that may be brought in small claims court. Privacy; Electronic Communications

The Issuer may collect, use, and disclose information about the Cardmember and Account as permitted by law for account administration, servicing, collections, and risk management. The Cardmember consents to electronic delivery of disclosures, statements, and notices where permitted by law.

Amendments, Assignment, and Governing Law

The Issuer may amend the terms of this Agreement at any time as permitted by law, with notice provided in the manner described herein. The Issuer may assign or transfer the Account and related rights. This Agreement is governed by the substantive law of the jurisdiction designated by the Issuer to the extent not preempted by federal law.

Severability and Entire Agreement

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force and effect. This Agreement, together with any accompanying disclosures and schedules, constitutes the entire agreement between the parties with respect to the Account.
