Overview of the CARE Contract for CWJ Services

The CARE Contract for CWJ Services is a written service agreement that defines scope, deliverables, timelines, payment terms, confidentiality, and liability for client-worker-journey (CWJ) engagements. It documents roles and responsibilities between the hiring organization and the CWJ provider, establishes acceptance criteria for deliverables, and records any regulatory or industry-specific provisions needed for compliance. The contract is intended to be signed by authorized parties and retained as a legal record of the engagement terms and any subsequent amendments or change orders.

Payment and Fees

Clear fee schedule, invoicing cadence, reimbursement terms, and late payment remedies to minimize billing disputes and cash-flow uncertainty for providers.

Common Preparation Pitfalls to Avoid

  • Vague scope descriptions that leave deliverables and acceptance undefined, which commonly lead to scope creep and billing disputes.
  • Missing or inconsistent effective dates and signature dates that create ambiguity about when obligations begin or expire.
  • Using multiple conflicting versions of the contract during negotiation instead of a single marked master copy for edits.
  • Failure to confirm authorized signatory authority, which can result in unsigned or unenforceable agreements.

Legal and Financial Risks of Incorrect or Incomplete Contracts

Contract Invalidity: Missing signatures may render the agreement unenforceable
Tax Exposure: Incorrect reporting can trigger penalties under IRC §6721
I-9 Violations: Employment documentation errors incur 8 CFR §274a.2 penalties
Data Breach Liability: Inadequate controls increase regulatory and litigation risk
Late Performance: Penalties or liquidated damages may apply
Indemnity Gaps: Poorly drafted indemnities shift unexpected liability

Detailed task list, schedule, milestones, and acceptance criteria to avoid scope disputes and provide clear deliverable checklists.

Insurance Certificates

Proof of liability and other insurance coverage with policy limits and effective dates to meet contract indemnity and risk-transfer requirements.

Practical Tips for Accurate and Efficient Completion

Follow these best practices to reduce errors, speed approvals, and keep a defensible audit trail for the CARE Contract.

Use a Single Source of Truth
Maintain a single master document during negotiations. Track redlines in a single copy and avoid parallel edited versions to prevent conflicting terms and version control issues.
Standardize Key Clauses
Standardize indemnity, limitation of liability, data protection, and payment clauses in templates to shorten review time and ensure consistent risk allocation across engagements.
Validate Signatory Authority
Confirm signers have written delegation or corporate resolution where required; for vendor counter-signatures, retain evidence of authority to reduce later challenges to enforceability.
Document Amendments Clearly
Use formal amendment or change order forms that reference the original contract, list modifications, and include signatures to prevent ambiguity about which terms control.
