What a Cargo Shipment Agreement Covers

A Cargo Shipment Agreement is a contract between a shipper and a carrier that sets out the terms for transporting goods by land, sea, or air. It identifies the parties, describes the cargo, sets delivery windows, allocates liability for loss or damage, specifies payment and freight charges, and records special handling instructions. For commercial enforcement in interstate commerce, electronic execution is generally valid under the ESIGN Act (15 U.S.C. ch. 96, 2000) and state UETA statutes where adopted; specific exceptions may still apply for certain notarized or court-filed records.

Why a Written Agreement Matters for Shipments

A written Cargo Shipment Agreement reduces ambiguity about responsibilities, delivery terms, insurance, and dispute resolution. It helps carriers and shippers manage risk, set payment expectations, and comply with regulatory requirements for hazardous goods, customs filings, and insurance.

Why a Written Agreement Matters for Shipments

Who Typically Completes a Cargo Shipment Agreement

Parties that commonly prepare or sign these agreements include commercial shippers, freight forwarders, third-party logistics providers, and carriers.

  • Shippers and exporters who control goods and pay freight; they specify pickup instructions and consignee details.
  • Carriers and motor carriers who accept goods for transport; they record liability limits and handling obligations.
  • Freight brokers and logistics managers who arrange transport and consolidate terms across multiple legs.

Accurate completion by the designated contracting representative prevents billing disputes and supports claims handling when cargo is lost or damaged.

  • Omitting declared value or under-declaring cargo, which limits recovery under carrier liability rules and insurance.
  • Not aligning routes or transshipment rights with carrier capabilities, causing unexpected re-routing charges or refusal to carry.
