CARPET INSTALLATION AGREEMENT

This Carpet Installation Agreement ("Agreement") is made effective as of , by and between Client Name: and Contractor Name: .

WHEREAS

WHEREAS, Client requires the supply and professional installation of carpet and associated materials at the premises located at ;

WHEREAS, Contractor represents that it is duly licensed, qualified and experienced to perform carpet installation services in the jurisdiction applicable to the Premises and will perform such services in a workmanlike manner consistent with industry standards; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the supply and installation of carpet under the terms and conditions set forth in this Agreement.

SCOPE OF WORK

Contractor shall supply all labor, materials, tools, equipment and supervision necessary to complete the carpet installation described below. The scope shall include removal and lawful disposal of existing flooring where indicated, subfloor preparation, installation of underlayment or padding, trimming, transitions and cleanup.

PAYMENT TERMS

Client agrees to pay Contractor the total contract sum for labor and materials as follows.

Final payment is due upon satisfactory completion and inspection of the Work and acceptance by Client. Contractor retains a mechanic's lien right to secure unpaid sums to the extent permitted by law.

TERM AND TERMINATION

This Agreement commences on Start Date: and is expected to be completed by Completion Date: , subject to adjustments for change orders, weather, delays beyond Contractor's control, and force majeure events.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. Upon termination by Client without cause, Contractor shall be entitled to payment for work performed, materials ordered and reasonable demobilization costs.

CHANGES / CHANGE ORDERS

Any change to the Scope of Work, materials, or schedule shall be executed only by a written Change Order signed by both parties, stating the change, any adjustment to the contract price and time for completion.

SITE PREPARATION & ACCESS

Client is responsible for removal of personal property, furniture and valuables from the work area before installation unless otherwise agreed. Client shall provide Contractor with reasonable access to the Premises during normal working hours and shall obtain any necessary parking or property access permissions.

MATERIALS, WARRANTY AND ACCEPTANCE

Contractor shall use new materials as specified in the Scope of Work. Contractor warrants labor for a period of months from completion against defective workmanship. Manufacturer warranties for materials, if any, shall be assigned to Client to the extent transferable, and Contractor's warranty shall not exceed the warranty period stated above.

Final acceptance occurs upon Client's written confirmation after inspection. If Client withholds acceptance for reasons attributable to Contractor, Client shall notify Contractor in writing identifying defects and Contractor shall promptly correct such items.

INSURANCE, LIABILITY AND INDEMNITY

Contractor shall maintain general liability insurance and workers' compensation as required by applicable law. Contractor shall provide proof of insurance upon reasonable request. To the fullest extent permitted by law, each party shall indemnify and hold the other harmless from claims arising out of that party's negligence or willful misconduct.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive confidential information of the other. Neither party shall disclose such confidential information to third parties or use it for purposes other than performance under this Agreement, except as required by law. Confidential information does not include information that is or becomes publicly known other than through the receiving party's breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflict of laws.

ENTIRE AGREEMENT

This Agreement, including any exhibits and any written Change Orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written understandings, agreements or representations. No modification shall be binding unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices required under this Agreement shall be in writing and delivered to the addresses provided by the parties.
