Each carpet item delivered under this Agreement is described below. Lessor and Lessee acknowledge that the initial condition will be recorded on delivery and that Lessee accepts responsibility for damage occurring during the rental term unless noted otherwise.

Rental Term & Possession

Rental Term Commences on and terminates on unless earlier terminated in accordance with this Agreement. Possession and use of the goods by Lessee prior to the start date requires Lessor's written consent.

Lessee agrees to pay the sums below in consideration for rental, delivery, installation, and removal services.

Delivery, Installation & Removal

Lessor will deliver and install the goods at the Installation Address on the Delivery Date. Lessee shall provide reasonable access and a safe work environment. Any additional charges for stair carry, elevator usage, or extraordinary installation requirements shall be paid by and invoiced separately.

Cleaning, Damage & Repairs

Lessee shall return goods in substantially the same condition as delivered, ordinary wear and tear excepted. Charges for cleaning, stain removal, deodorization, pet damage, water damage, and repairs shall be deducted from the Security Deposit or invoiced to Lessee if exceed the deposit. A standard deep-clean fee of will apply if carpets require professional restoration.

Insurance & Indemnity

Lessee shall maintain liability insurance covering damage to rented goods and property and name Lessor as an additional insured or provide certificate evidencing coverage prior to Delivery. Lessee indemnifies, defends and holds Lessor harmless from and against all claims, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Lessee's use, possession, storage or installation of the goods except to the extent caused by Lessor's gross negligence or willful misconduct.

Default, Remedies & Termination

Failure by Lessee to pay amounts when due, to return goods timely, or to comply with material obligations constitutes an Event of Default. Upon default, Lessor may terminate this Agreement, retake possession of goods, retain Security Deposit, recover unpaid rent and damages, and pursue other remedies available at law or equity. Lessor's exercise of one remedy shall not preclude exercise of others.

Limitation of Liability; Waiver

Except for loss resulting from Lessor's gross negligence or willful misconduct, Lessor's liability for any claim arising from this Agreement shall be limited to direct damages not to exceed the total rental amounts paid by Lessee under this Agreement. IN NO EVENT SHALL LESSOR BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Installation Address is located. Entire Agreement: This Agreement, together with any written attachments or condition reports signed by the parties, constitutes the entire agreement between the parties and supersedes prior agreements and understandings. Amendments must be in writing and signed by both parties.

Acknowledgment

The parties acknowledge that they have read and understand this Agreement, that they have had the opportunity to inspect the goods prior to execution, and that they agree to be bound by its terms. Lessee acknowledges receipt of the initial condition report and accepts responsibility for the goods from the Delivery Date through the Removal Date.
