Either party may terminate for convenience upon written notice of days. Termination for cause may occur immediately for material breach, insolvency, or failure to maintain required insurance.

Confidentiality

Carrier and Company acknowledge that, in performing services, each may receive confidential business information. Each party shall keep confidential all non-public information disclosed by the other, shall use such information only for performance of obligations under this Packet, and shall not disclose such information except to employees or subcontractors on a need-to-know basis subject to confidentiality obligations at least as protective as those herein. Confidential obligations survive termination for a period of two (2) years.

Indemnification & Liability

Carrier shall defend, indemnify, and hold Company harmless from and against claims, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from Carrier's negligent or willful acts, breach of this Packet, or failure to maintain required insurance. Company's liability to Carrier shall be limited to amounts actually paid to Carrier for the services giving rise to the claim, except for willful misconduct or gross negligence.

Governing Law

This Packet shall be governed by and construed in accordance with the laws of the state specified by the Company and Carrier at execution. Any dispute arising out of this Packet shall be resolved in the state or federal courts located within that jurisdiction.

Entire Agreement

This Carrier Information Packet, together with any executed service agreements and attachments, constitutes the entire understanding between Carrier and Company with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment shall be binding unless in writing and signed by authorized representatives of both parties.
