What a Carrier Service Agreement Covers

A Carrier Service Agreement is a written contract between a shipper and a carrier that sets the terms for transporting goods, including services provided, pricing, scheduling, liability allocation, insurance requirements, and claims procedures. For U.S. transactions it should address regulatory compliance, hazardous materials handling when applicable, and dispute resolution mechanisms. The agreement may also specify invoicing, accessorial charges, termination rights, and data handling. Clear, well-drafted terms reduce operational disputes and support consistent billing and claims workflows during carriage.

Why a Clear Carrier Service Agreement Matters

Using a Carrier Service Agreement creates predictable allocation of risk, pricing, and operational duties, and supports claims management and regulatory compliance. When signed electronically under ESIGN (15 U.S.C. §7001) or state UETA/ESRA law, it is enforceable so long as intent, attribution, consent, and retention requirements are satisfied.

Why a Clear Carrier Service Agreement Matters

Who Handles and Signs These Agreements

Common users include logistics managers, transportation brokers, freight carriers, and legal teams involved in shipping operations.

  • Logistics managers: negotiate delivery windows, carriers' obligations, and performance metrics for shipments.
  • Freight carriers: document service rates, liability limits, insurance requirements, and accessorial charges.
  • Shippers and brokers: ensure billing terms, claims procedures, and proof-of-delivery obligations are explicit.

The document helps each role understand obligations, billing, and dispute resolution so parties can operate with clearer expectations.

Core Sections to Include in a Professional Agreement

Core sections define service scope, payment, liability, insurance, claims, and termination. Draft each to balance operational clarity with legal protection.

Service Scope

Describe services provided, pickup and delivery locations, allowed routes, transit times, routing authority, handling instructions, and party responsibilities for loading and unloading to reduce operational disputes.

Rates & Payment

State rate basis (per mile, per shipment, per weight), payable terms, billing cycle, late fees, and how accessorial charges are calculated and invoiced.

Liability & Indemnity

Set limits of liability, indemnity provisions, responsibility for loss or damage, consequential damages exclusions, and exceptions for force majeure and carrier negligence.

Insurance Requirements

Specify required insurance types and limits (cargo, liability, auto), certificate delivery timing, and required endorsements naming shipper as additional insured when applicable.

Claims Process

Provide notice deadlines, documentation needed for loss claims, investigation timelines, dispute escalation, and payment or repair procedures to resolve cargo damage claims efficiently.

Termination & Remedies

Define termination rights, cure periods for breaches, liquidated damages if used, and remedies including suspension of services and recovery of unpaid charges.

Key Dates and Deadlines to Track

Key deadlines and timing expectations tied to Carrier Service Agreements and related compliance obligations. Track these dates to avoid penalties and service interruptions.

Provide W-9 on request:

Supply completed W-9 to payers when requested to avoid backup withholding

Insurance certificates due:

Submit prior to first shipment or as stated in agreement

Claims notice deadline:

Commonly 5–30 days depending on carrier rules and governing law

Invoice payment terms:

Net 30 or other contractually agreed terms begin on invoice date

I-9 retention requirement:

Retain I-9 forms 3 years after hire or 1 year after termination

Common Preparation Pitfalls to Avoid

  • Vague service descriptions lead to disputes over routing, loading responsibilities, and accessorial charges; specify pickup/drop locations, handling instructions, and permitted carriers to reduce ambiguity.
  • Missing insurance details or incorrect certificate holders cause coverage gaps during loss; require certificates with endorsements and confirm policy effective dates in writing before performance.
  • Unclear claims procedures or short notice windows result in denied claims; state required documentation, contact points, and reasonable timelines for investigation and settlement.
  • Improper signer authority or mismatched legal names can void clauses or delay payments; verify corporate authority and use consistent entity names across tax and bank records.

Consequences of Errors or Omissions

Tax Penalties: Incorrect W-9s can trigger backup withholding
Claims Denial: Late notice or missing documentation risks denial
Insurance Gaps: Insufficient coverage shifts liability to contracting party
Operational Delays: Disputes cause shipment holds and extra costs
Regulatory Fines: Noncompliance with transport rules invites penalties
Contract Voidance: Improper signatures may render clauses unenforceable
