Either party may terminate this engagement for convenience upon written notice delivered to the other party not less than days prior to termination. Termination for cause shall be effective immediately upon written notice if a material breach is not cured within 10 days of written notice of such breach.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination, including reasonable wind-up costs and any non-cancellable obligations.

Confidentiality

All non-public information exchanged between the parties and generated in connection with the matter shall be maintained in confidence and shall not be disclosed to third parties except as required by law, court order, or with the disclosing party's prior written consent. The receiving party shall use at least the same degree of care in protecting confidential information as it uses to protect its own confidential information, but no less than reasonable care.

  The parties acknowledge that certain materials may be designated as privileged or confidential and agree to identify such materials promptly.

Liability and Indemnification

Service Provider's liability for direct damages arising out of or related to the performance of services under this document shall be limited to the total fees actually paid by Client for the services giving rise to the claim. Neither party shall be liable for incidental, consequential, special or punitive damages. Client agrees to indemnify and hold Service Provider harmless from third-party claims arising from Client-provided materials or Client's breach of this document.

Governing Law

This document shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This document, together with any exhibits, attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

Acknowledgement and Certification

Each party represents and warrants that it has the authority to enter into this document, that the person signing on its behalf is authorized to bind the party, and that all information provided in this Case Information Document is true, complete and accurate to the best of its knowledge.
