CASHBACK INCENTIVE AGREEMENT

This Cashback Incentive Agreement (the Agreement) is entered into by and between:

1. Definitions

For purposes of this Agreement the following definitions apply: "Eligible Transaction" means a sale or purchase by an End User that satisfies the qualifying criteria set forth in Section 3; "Cashback" means the monetary incentive payable by Sponsor to Partner pursuant to the Incentive Structure; "Reporting Period" means the interval (monthly or quarterly) in which Eligible Transactions are aggregated for calculation and payment.

2. Term

This Agreement shall commence on the Effective Date and shall continue until terminated pursuant to Section 10 or until .

3. Incentive Structure

Sponsor agrees to pay Cashback to Partner in accordance with the tiered schedule set forth below for Eligible Transactions. Cashback is calculated on net transaction value after returns, refunds and discounts unless otherwise specified.

4. Eligible Transactions

Eligible Transactions must be completed purchases by End Users during the Term that meet the product, channel and fraud-prevention criteria established by Sponsor and communicated in writing to Partner. Transactions excluded from Cashback include chargebacks, returns, cancelled orders, fraud, and transactions that fail Sponsor's compliance checks.

5. Calculation and Payment

Reporting Period: . Sponsor shall provide Partner with a reconciliation report within days following the end of the Reporting Period. Payments will be remitted within days of delivery of the final reconciliation, subject to verification and holdbacks for disputed or allegedly ineligible transactions.

6. Reconciliation, Audits and Adjustments

Sponsor or its designated auditor may audit Partner's records reasonably related to Cashback for a period of following payment. Partner shall retain transaction-level records and provide reasonable access upon days' written notice. Any underpayment discovered will be paid with interest at . Overpayments may be recovered by Sponsor, subject to notice and dispute procedures set forth herein.

7. Clawback and Refunds

Sponsor may reclaim Cashback paid for transactions that are later refunded, charged back, or found ineligible for a period of following the original transaction. Recovery may be by offset against future payments or direct invoice to Partner.

8. Taxes

Each party is responsible for its own taxes arising from payments and receipts under this Agreement. Partner shall provide any tax forms reasonably requested by Sponsor and shall indemnify Sponsor for any taxes, penalties or interest assessed against Sponsor attributable to Partner's failure to properly report or remit applicable taxes.

9. Confidentiality

The parties shall treat as Confidential Information all non-public business, financial and technical information disclosed in connection with this Agreement, excluding information that is publicly known or independently developed. Confidential Information shall not be used except to perform obligations under this Agreement and shall not be disclosed without prior written consent of the disclosing party.

10. Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Sponsor may terminate immediately for material breach, fraud, or failure to comply with reporting obligations. Termination shall not affect obligations accrued prior to termination, including payment and audit rights.

11. Representations, Indemnities and Liability

Each party represents that it has the authority to execute this Agreement. Partner shall indemnify and hold Sponsor harmless from claims arising from Partner's misrepresentation of transaction eligibility, failure to comply with applicable law, or breach of confidentiality. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, AND LIABILITY SHALL BE LIMITED TO THE AMOUNT OF CASHBACK PAID OR PAYABLE UNDER THIS AGREEMENT IN THE PRIOR SIX MONTHS.

12. Notices

Notices shall be given to the addresses below or to such other contact as designated in writing. Notices are effective upon receipt.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of , without regard to its choice-of-law principles. The parties shall seek to resolve disputes in good faith; absent resolution within 60 days, disputes shall be resolved by arbitration or in the courts located in the governing state as selected by Sponsor.

14. Miscellaneous

This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to Cashback and supersedes prior proposals and agreements. Any amendment must be in writing and signed by authorized representatives of both parties. If any provision is found unenforceable, the remainder shall remain effective.
