WHEREAS

WHEREAS, Employer seeks to engage Worker to perform casual services on an as-needed basis and Worker has represented that Worker has the skill and capacity to perform such services under the terms set forth in this Letter of Offer.

WHEREAS, the parties intend this document to constitute a casual Letter of Offer describing the scope, compensation, and basic terms of the engagement and not to create an employment relationship beyond that contemplated herein.

WHEREAS, this Letter of Offer is subject to the terms below and becomes binding when signed by both parties.

Either party may terminate this engagement by giving the other party written notice at least days, except that Employer may immediately terminate for cause if Worker engages in material breach, gross misconduct, or acts that materially endanger persons or property.

Effect of termination: On termination, Employer will pay Worker for all authorized services performed and reasonably documented through the termination date, subject to any lawful deductions or set-offs.

CONFIDENTIALITY

Worker acknowledges that in the course of performing services Worker may receive confidential or proprietary information of Employer. Worker will not disclose, use, or permit the use of any such Confidential Information except as authorized in writing by Employer or as required by law. Confidential Information excludes information that is publicly available without breach, already rightfully in Worker’s possession prior to disclosure, or independently developed without use of Employer’s confidential materials.

The obligations under this clause survive termination or expiration of this Letter of Offer for a period of from the date of termination, except with respect to trade secrets which shall survive indefinitely.

OTHER PROVISIONS

Relationship of the parties: This Letter of Offer creates a casual services engagement. Nothing in this Letter of Offer creates an employment contract of indefinite duration, partnership, or joint venture unless otherwise expressly agreed in writing.

Intellectual property: Unless otherwise agreed in writing, all original work product created by Worker specifically for Employer in the performance of the services under this Letter of Offer will be the exclusive property of Employer and Worker hereby assigns all rights, title and interest in such work product to Employer.

GOVERNING LAW

This Letter of Offer is governed by and will be construed in accordance with the laws of: without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Letter of Offer, together with any written schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals and communications, whether written or oral. Any amendment must be in writing and signed by both parties.
