CASUAL SESSION AGREEMENT

This Casual Session Agreement ("Agreement") is entered into on this day by and between Photographer: with business address: , and Client Name: with address: .

RECITALS

WHEREAS, Photographer is engaged in the business of providing casual photography session services and possesses professional skill, equipment and expertise to provide photographic services; and

WHEREAS, Client desires to engage Photographer to provide a casual photography session on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend to set forth their respective rights and obligations with respect to the session, fees, deliverables and permitted uses of photographic materials.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. SERVICES

Photographer will provide a casual photography session (the "Session") to Client at the agreed location and time. Session date: . Session start time: . Session duration: .

Photographer will use professional equipment and reasonable care in providing the Session. Photographer may, at Photographer's discretion, provide an assistant, prop, or extra lighting. Specific creative direction remains within Photographer's professional judgment.

2. FEES AND PAYMENT

All fees are payable in the currency stated and are exclusive of any taxes which the Client shall bear where applicable. Failure to pay amounts when due entitles Photographer to suspend further services and retain ownership of all produced materials until paid in full.

3. CANCELLATION AND RESCHEDULING

Client may cancel or reschedule by written notice to Photographer. If Client cancels less than days prior to the Session, the deposit is forfeited. If Photographer cancels due to illness, emergency or equipment failure, Photographer will use reasonable efforts to reschedule or, if rescheduling is not possible, refund the deposit.

4. DELIVERABLES, EDITING AND DELIVERY

Photographer will perform standard color correction and basic retouching on delivered images. Major compositing or advanced retouching is not included unless specifically agreed in writing. Delivery times are estimates; Photographer shall not be liable for delays caused by circumstances beyond Photographer's reasonable control.

5. LICENSE AND COPYRIGHT

Photographer retains all copyrights and ownership in the photographs produced. Upon full payment, Photographer grants Client a limited, non-exclusive, revocable license to use delivered images for personal, non-commercial use. Any commercial use, resale, sublicensing, or transfer of rights requires a separate written license and additional compensation.

Client may not alter copyright management information nor remove Photographer's credit where reasonably practicable. Photographer may use images for portfolio, marketing, competitions, and self-promotion unless Client has explicitly withheld such permission below.

6. MODEL RELEASE

Client hereby grants Photographer and Photographer's legal representatives, licensees and assigns the irrevocable, worldwide right and permission to use, publish, reproduce and display photographic images of Client for portfolio, marketing, advertising and any other lawful purpose, subject to any prohibition selected above. If Client is under 18, the parent or legal guardian must sign this Agreement to grant the release.

7. CLIENT OBLIGATIONS

Client shall be on time for the Session, cooperate with Photographer's reasonable direction, and inform Photographer of any health, safety or accessibility needs. Client is responsible for securing any location permits, permissions, or fees unless Photographer agrees otherwise in writing.

8. LIMITATION OF LIABILITY

Photographer's liability for any claim arising out of or related to this Agreement shall be limited to direct damages not exceeding the total fees paid by Client under this Agreement. Photographer shall not be liable for indirect, incidental, consequential, punitive or exemplary damages, including loss of use, lost profits or emotional distress.

9. INDEMNIFICATION

Client agrees to indemnify, defend and hold Photographer harmless from and against any third-party claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement, Client's negligence, or Client's misuse of the images.

10. NOTICES

Any notice required or permitted hereunder shall be in writing and delivered to the addresses set forth in the preamble of this Agreement or to such other address as either party may designate by written notice. Notices sent by email are effective upon sender's receipt of confirmation of delivery to the recipient's email address.

11. AMENDMENT; WAIVER; COUNTERPARTS

No amendment of this Agreement shall be valid unless in writing and signed by both parties. A party's failure to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. Any dispute arising out of this Agreement shall be brought in the appropriate state or federal courts located in that state.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral, relating to the subject matter hereof.

14. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable for any reason, the remaining provisions shall continue in full force and effect and shall be construed so as to best effectuate the parties' intent.

15. MISCELLANEOUS PROVISIONS

The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, employment or agency relationship. Headings in this Agreement are for convenience only and shall not affect interpretation.
