CATERING EVENT AGREEMENT

This Catering Event Agreement (the Agreement) is entered into by and between:

RECITALS

WHEREAS, Client desires to engage Caterer to provide catering services for the Event described below, and Caterer represents that it has the experience, personnel, equipment and licenses necessary to perform such services in a professional manner;

WHEREAS, the parties intend for this Agreement to set forth the terms, conditions and payment obligations governing Caterer’s provision of catering services for the Event;

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties agree as follows:

Late Payment: Any amount not paid when due shall bear interest at (or the maximum lawful rate if less). Client shall also be responsible for collection costs, including reasonable attorneys' fees.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after receipt of written notice specifying the nature of the breach. Termination by Client without cause within 30 days of the Event shall not relieve Client of the obligation to pay amounts earned by Caterer, including the non-refundable deposit and any reasonable cancellation fees set forth below.

Cancellation Fees: If Client cancels the Event more than days prior to the Event, Caterer will retain the deposit. If cancellation occurs within days of the Event, Client will be responsible for of the Total Fee, plus documented third-party expenses.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other in connection with the Event, including pricing, recipes, supplier lists, trade secrets, and client guest lists.

Obligations: Each party shall hold Confidential Information in strict confidence, shall not disclose it to any third party except to employees, contractors or agents having a need to know and who are bound by confidentiality obligations at least as protective as those herein, and shall use such information solely for the performance of this Agreement.

Exclusions and Duration: Confidential Information does not include information that is or becomes publicly available without breach of this Agreement, or that is rightfully received from a third party free of restriction. The confidentiality obligations shall survive termination of this Agreement for a period of unless otherwise required by law.

INDEMNIFICATION AND INSURANCE

Indemnification: Each party shall indemnify, defend and hold harmless the other party and its officers, agents, employees and contractors from and against any third-party claims, liabilities, damages and expenses arising out of the indemnifying party’s negligence, willful misconduct, or breach of this Agreement, except to the extent such claims arise from the indemnified party’s negligence or willful misconduct.

Insurance: Caterer shall maintain commercial general liability insurance and, if applicable, employer’s liability and liquor liability insurance with limits adequate for the Event. Upon request, Caterer will provide certificates of insurance naming Client as an additional insured to the extent reasonably required.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located within that jurisdiction.

ENTIRE AGREEMENT

Integration: This Agreement, including any attachments, menus, change orders and written amendments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, representations and agreements, whether written or oral. No modification, waiver or amendment of any provision of this Agreement shall be effective unless in writing signed by both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Caterer may assign to an affiliate or a successor in interest.

Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
