CATERING LUNCH CONTRACT

RECITALS

WHEREAS, Provider is engaged in the business of preparing, supplying and serving catered food and related services; and

WHEREAS, Client desires to retain Provider to provide catering services for a lunch event under the terms set forth in this Agreement; and

WHEREAS, Provider is willing to provide such services and Client is willing to pay for said services in accordance with the terms and conditions set forth below.

Late Payment: Any amount not paid when due shall accrue a late fee of per month (or the maximum permitted by law) on the unpaid balance. Provider may suspend performance for overdue balances after providing written notice.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall terminate on End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within Notice Period: days after receipt of written notice. Client may cancel the event subject to the cancellation policy below.

If Client cancels more than days prior to the event, deposit will be retained as liquidated damages. Cancellations within that period will require payment of of the total contract amount unless otherwise agreed in writing.

CONFIDENTIALITY

Each party acknowledges that in the performance of this Agreement, it may obtain confidential or proprietary information of the other party. "Confidential Information" includes pricing, client lists, recipes, menu formulations, and financial terms. Each party shall (i) hold Confidential Information in strict confidence, (ii) use it solely for performance under this Agreement, and (iii) not disclose it to any third party except as required by law or to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations survive termination for a period of three (3) years.

FOOD SAFETY, COMPLIANCE & INSURANCE

Provider shall prepare and serve food in accordance with applicable health and safety laws and shall maintain all required permits and licenses. Provider shall carry commercial general liability insurance with limits not less than $ per occurrence and shall name Client as additional insured when requested in writing at least ten (10) days prior to the event.

LIABILITY; INDEMNIFICATION

Provider's liability for any claim arising out of this Agreement shall be limited to direct damages not to exceed the total amount paid by Client to Provider under this Agreement. Client shall indemnify and hold Provider harmless from and against any third-party claims arising from Client's acts or omissions, including guest injuries unrelated to Provider's negligence. The parties expressly waive any claim for consequential or punitive damages except in the case of willful misconduct.

FORCE MAJEURE

Neither party shall be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, governmental restrictions, public health emergencies, labor strikes, or severe weather. If an event is postponed or cancelled due to force majeure, the parties shall work in good faith to reschedule or allocate payments equitably.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous negotiations, proposals, representations, and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.
