Liability & Confidentiality

Liability: Caterer will maintain general liability insurance. Caterer is not responsible for loss, damage, or failure to perform due to circumstances beyond its control, including but not limited to acts of God, labor disputes, or government action.

Confidentiality: Each party agrees to keep confidential all non-public business information obtained in connection with this engagement. Confidential information does not include information that is or becomes public through no fault of the receiving party or was independently developed. This obligation survives termination of this agreement for a period of two years.

Governing Law & Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where the event takes place, without regard to conflict of laws principles.

Entire Agreement: This form, including the Scope of Work and Payment Terms set forth above, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and other communications, whether oral or written. Any modification must be in writing and signed by both parties.
