CATERING SERVICES AGREEMENT

This Catering Services Agreement (the Agreement) is entered into as of (Effective Date) by and between:

WHEREAS

WHEREAS, Client desires to engage Caterer to provide catering services for an event described herein under the terms and conditions of this Agreement; and

WHEREAS, Caterer represents that it has the personnel, equipment, experience, and facilities necessary to provide catering services in a professional manner in accordance with industry standards; and

WHEREAS, the parties agree to the terms set forth in this Agreement and acknowledge that this Agreement supersedes all prior discussions and agreements between them regarding the subject matter herein.

SCOPE OF WORK

Caterer shall provide food, beverage, personnel, equipment, setup, service, and cleanup as described in the Scope of Work below. Caterer shall perform services in a professional manner consistent with industry standards and applicable health and safety codes.

Late Payment: Any past-due balance shall accrue interest at on unpaid amounts, or the maximum permitted by law, together with costs of collection.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for cause may be immediate if a party materially breaches this Agreement and fails to cure the breach within days after receipt of written notice specifying the breach.

CANCELLATION

If Client cancels less than days prior to the Event Date, Client shall pay a cancellation fee equal to of the Total Contract Price, plus any unrecoverable expenses incurred by Caterer. Deposits are non-refundable except as expressly set forth in this Agreement.

CONFIDENTIALITY

Each party shall keep confidential all non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party, was lawfully in the receiving party's possession prior to disclosure, or is required to be disclosed by law or valid legal process (provided notice is given to the disclosing party, where permitted).

INSURANCE, LICENSING AND HEALTH COMPLIANCE

Caterer shall maintain, at its expense, commercial general liability insurance and workers' compensation as required by law. Upon Client's request, Caterer shall provide certificates of insurance evidencing coverage. Caterer shall comply with all applicable health, safety, and food handling laws and obtain necessary permits and licenses for the Event.

INDEMNIFICATION

Each party (Indemnitor) shall indemnify, defend and hold harmless the other party and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of the Indemnitor's negligent acts, willful misconduct, or breach of this Agreement, except to the extent caused by the gross negligence or willful misconduct of the indemnified party.

ADDITIONAL COSTS AND TAXES

Client shall be responsible for applicable sales taxes, venue fees, service charges, gratuities, parking, permits, and any costs for special equipment or services requested by Client that are not included in the Total Contract Price. Any third-party vendor fees incurred on Client's behalf shall be billed to Client.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform for causes beyond its reasonable control, including acts of God, pandemic, government order, labor disputes, or severe weather. A party affected by a force majeure event shall provide prompt written notice and shall use commercially reasonable efforts to mitigate the effect of the event.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflict of laws.

ENTIRE AGREEMENT

This Agreement, including all attachments and incorporated documents, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written. No amendment to this Agreement shall be effective unless in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or overnight courier, and shall be effective upon receipt.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties agree that any dispute arising out of this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the governing state set forth above. The parties are independent contractors and nothing in this Agreement creates an agency, partnership or joint venture.
