This Signature Page to the CCA Agreement (the "Agreement") is executed as of Date: by and between Client Name: (Client), and Service Provider Name: (Provider). The parties acknowledge and agree that this Signature Page is executed pursuant to and incorporates the terms and definitions of the CCA Agreement to which it is attached.

RECITALS

WHEREAS, Client and Provider have negotiated the CCA Agreement describing certain confidentiality, collaboration, services, and compensation terms under which Provider will perform the Services for Client; and

WHEREAS, the parties desire to evidence their execution of the CCA Agreement by signing this Signature Page and to confirm the Effective Date and the authorized signatories for the Agreement.

WHEREAS, the parties agree that any capitalized terms used but not defined on this Signature Page shall have the meanings ascribed to them in the CCA Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth in the CCA Agreement and herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. INCORPORATION

The terms of the CCA Agreement are hereby incorporated by reference and made a part of this Signature Page. This Signature Page constitutes an integral part of the Agreement and shall be construed consistently with the Agreement's provisions.

2. EFFECTIVE DATE

The Effective Date of the Agreement shall be the date set forth above as agreement date. If multiple signature dates are executed, the Effective Date shall be the earliest date reflected on the signature lines unless otherwise agreed in writing by the parties.

3. AUTHORITY AND REPRESENTATIONS

Each party represents and warrants that it has full corporate or individual power and authority to enter into and perform its obligations under the Agreement, that the person signing on its behalf is duly authorized to do so, and that execution and delivery of this Signature Page and performance of the Agreement will not violate any law, contract, or obligation binding on such party.

4. NOTICES

Any notice required or permitted under the Agreement shall be given in writing and delivered to the address set forth below or to such other address as a party may designate by notice in accordance with this Section.

5. ASSIGNMENT

Neither party may assign its rights or delegate its obligations under the Agreement without the prior written consent of the other party, except that either party may assign the Agreement in connection with a merger, acquisition, change of control, or sale of substantially all of its assets provided the assignee assumes all obligations under the Agreement in writing.

6. AMENDMENT; WAIVER

No amendment, modification, or waiver of any provision of the Agreement shall be effective unless in writing and signed by authorized representatives of both parties. No waiver of any breach shall constitute a waiver of any subsequent breach.

7. GOVERNING LAW

The Agreement, including this Signature Page, shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflicts of law.

8. ENTIRE AGREEMENT

This Signature Page, together with the CCA Agreement and any exhibits or schedules expressly incorporated therein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

9. SEVERABILITY

If any provision of the Agreement or this Signature Page is held to be invalid or unenforceable, such provision shall be reformed to the extent necessary to make it valid and enforceable, or if reformation is not possible, such provision shall be severed and the remaining provisions shall remain in full force and effect.

10. COUNTERPARTS

This Signature Page may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means or facsimile shall be considered original signatures for all purposes.
