3. PERMITTED DISCLOSURES

3.1 The Receiving Party may disclose Confidential Information to the extent required by law, regulation or valid court order; provided that, to the extent legally permissible, the Receiving Party gives the Disclosing Party prompt written notice of such requirement so that the Disclosing Party may seek a protective order or other appropriate remedy and the Receiving Party discloses only that portion of Confidential Information that is legally required.

4. TERM; RETURN OR DESTRUCTION

4.1 This Agreement shall commence on the Effective Date and shall continue for a period of years, unless earlier terminated by mutual written agreement. 4.2 Upon termination of this Agreement or upon written request of the Disclosing Party, the Receiving Party shall, within days, return or destroy all materials containing Confidential Information, including all copies, and certify in writing that it has complied with this obligation, except that the Receiving Party may retain one archival copy of Confidential Information solely for legal and compliance purposes subject to the confidentiality obligations herein.

6.1 The Receiving Party acknowledges that monetary damages may be an inadequate remedy for breach of this Agreement and that the Disclosing Party shall be entitled to seek injunctive or other equitable relief to prevent or remedy any such breach, without the requirement of posting a bond or showing actual damages, in addition to any other remedies available at law or in equity.

6.2 Except for breaches of confidentiality and breaches giving rise to injunctive relief, neither party shall be liable to the other for consequential, incidental, special or punitive damages arising out of or relating to this Agreement, whether in contract, tort or otherwise, even if advised of the possibility of such damages.

10.2 Neither party shall be liable for failure or delay in performing its obligations under this Agreement to the extent such failure or delay is caused by circumstances beyond its reasonable control, provided that the affected party gives prompt notice to the other and uses reasonable efforts to resume performance.

10.3 The parties agree that any breach of this Agreement by the Receiving Party may cause the Disclosing Party irreparable harm for which monetary damages would be an inadequate remedy; accordingly, the Disclosing Party shall be entitled to seek injunctive relief in addition to any other available remedies.

What a CDA Agreement Template Covers

A Confidential Disclosure Agreement (CDA) template defines how confidential information is shared, used, and protected between parties. It sets the scope of what is confidential, permitted disclosures, duration of the confidentiality obligation, return or destruction procedures for materials, and remedies for breach. A well-constructed CDA reduces ambiguity between disclosing and receiving parties, clarifies permitted uses, and preserves trade secret or proprietary rights while enabling collaboration, due diligence, or vendor onboarding without public disclosure of sensitive data.

Why use a formal CDA Agreement Template

A standardized CDA ensures consistent protection of sensitive information, speeds review by legal teams, and clarifies remedies and data-handling obligations so collaborations proceed with lower legal risk.

Who commonly completes this CDA Agreement Template

The template suits one-way or mutual confidentiality arrangements and can be scaled for small vendor exchanges or enterprise-level collaborations.

  • Corporate legal teams negotiating vendor or partnership confidentiality clauses during due diligence or procurement.
  • Research institutions and biotech companies exchanging data with collaborators and CROs for early-stage projects.
  • Sales or product teams providing technical documentation to potential customers under controlled conditions.

Common mistakes to avoid when preparing a CDA

  • Using vague or overly broad definitions of confidential information that invite disputes over coverage and enforcement.

Injunctions: Court-ordered relief
Loss of IP: Risk to trade secrets
Contract Voidance: Enforcement challenges
Reputational Harm: Client trust loss
