CELEBRATION EVENT PLANNING AGREEMENT

This Celebration Event Planning Agreement (the Agreement) is entered into by and between:

Recitals

WHEREAS, the Client desires to engage the Planner to provide event planning, coordination, and related services for a celebration event described in this Agreement; and

WHEREAS, the Planner represents that the Planner has the expertise, personnel, and resources necessary to perform the services described below and agrees to provide such services pursuant to the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their rights and obligations with respect to the planning and execution of the celebration event.

Late Payment: Payments not received within days of the due date shall incur a late fee equal to percent per month on the outstanding balance or the maximum permitted by law, whichever is less.

Termination for Convenience: Either party may terminate this Agreement upon written notice to the other party at least days prior to the effective termination date. Client acknowledges that deposits are non-refundable except as expressly provided herein.

Termination for Cause: Either party may terminate immediately for material breach if the breaching party fails to cure such breach within days of written notice. Upon termination for cause by the Planner, Client shall remain liable for all services performed and non-cancellable commitments made on behalf of the Client.

Confidentiality

Each party agrees to keep confidential all proprietary or non-public information obtained from the other party in connection with the performance of this Agreement and not to disclose such information to third parties except as required to fulfill obligations under this Agreement or as required by law. Confidential information does not include information that is publicly known or becomes publicly known through no act or omission of the receiving party.

Insurance and Liability

Planner shall maintain general liability insurance customary for event planning professionals. Planner's liability for direct damages arising from Planner's negligence or willful misconduct is limited to the total fees paid to the Planner under this Agreement. In no event shall Planner be liable for consequential, incidental, special, or punitive damages.

Indemnification

Client agrees to indemnify and hold harmless the Planner and its officers, employees, and agents from and against any claims, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of Client's breach of this Agreement, acts or omissions of event attendees, or failure to disclose material information relevant to event safety and compliance.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Venue for any dispute shall be the courts located in the agreed jurisdiction unless the parties agree otherwise in writing.

Entire Agreement

This Agreement, including any schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendments must be in writing signed by both parties.
