CELEBRATION EVENT AGREEMENT

This Celebration Event Agreement ("Agreement") is made effective as of , by and between Organizer Name: and Client Name: .

WHEREAS

WHEREAS, Organizer is engaged in the business of planning, coordinating, and providing services for celebratory events and has represented that Organizer has the skill and experience to perform the services described herein; and

WHEREAS, Client desires to engage Organizer to provide event management and related services in connection with the celebration identified as Event Name: to be held at Venue: on , .

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

SCOPE OF WORK

Organizer shall provide personnel, coordination, and vendors as specified above and shall ensure that services are performed in a professional and workmanlike manner consistent with industry standards. Any changes to the Scope of Work must be agreed in writing and may be subject to additional fees.

PAYMENT TERMS

Any amount not paid when due shall accrue interest at a rate of or the maximum allowed by law, whichever is less. Client is responsible for all collection costs, including reasonable attorneys' fees, for amounts overdue.

TERM AND TERMINATION

This Agreement commences on Start Date: and terminates on End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice no fewer than days prior to the effective termination date. Termination for cause may be effected upon material breach by the other party if such breach is not cured within 10 days of written notice.

CANCELLATION, RESCHEDULING AND REFUNDS

If Client cancels the event more than days prior to the event, Organizer shall retain the deposit only. If cancellation occurs within the cancellation window, Client shall be liable for of remaining fees. Rescheduling requests are subject to Organizer availability and may require additional fees.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement ("Confidential Information") and shall not disclose such information to any third party except as required to perform the obligations under this Agreement or as required by law. Confidential Information does not include information that (i) is or becomes publicly available through no breach of this Agreement, (ii) is already known to the receiving party without restriction at the time of disclosure, or (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend, and hold harmless the other party and its officers, agents, and employees from and against all claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligent acts or omissions, willful misconduct, or breach of this Agreement. Except for indemnification obligations and willful misconduct, neither party's liability for any claim arising under this Agreement shall exceed the total amounts paid by Client to Organizer under this Agreement.

FORCE MAJEURE

Neither party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, government action, pandemics, strikes, or unavailability of venue, provided that the affected party promptly notifies the other and uses commercially reasonable efforts to resume performance.

NOTICES

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. This Agreement, together with any written amendments or exhibits executed by the parties, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter hereof.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the other party's prior written consent, except that Organizer may assign rights to a successor for business purposes.
