CELEBRATION RETIREMENT PARTY AGREEMENT

This Celebration Retirement Party Agreement (Agreement) is made effective as of Effective Date: by and between Client Name: and Service Provider: .

RECITALS

WHEREAS, Client desires to host a retirement celebration to honor the retiring individual and has contracted Service Provider to provide event planning and coordination services in accordance with the terms of this Agreement; and

WHEREAS, Service Provider represents that it has the necessary experience, personnel, equipment and licenses to provide the services described in this Agreement and agrees to provide such services subject to the terms, conditions and payment provisions set forth below.

SCOPE OF WORK

Service Provider shall provide event planning, coordination and related services for the Celebration Retirement Party. Services include, but are not limited to, the items described in the scope field below and such additional services as the parties may agree in writing.

PAYMENT TERMS

Client shall pay Service Provider the Total Fee set forth below for the services provided under this Agreement. All fees are due in United States dollars unless otherwise agreed in writing.

Late payments shall accrue a late fee as set forth below and interest at the lesser of the maximum rate permitted by law or the rate indicated.

TERM AND TERMINATION

This Agreement shall commence on Service Start Date: and shall terminate on Service End Date: , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within Notice Period: days after receipt of written notice. Termination shall not relieve Client of its obligation to pay for services performed prior to termination.

Neither party shall be liable for failure to perform obligations under this Agreement to the extent performance is prevented by circumstances beyond its reasonable control, including acts of God, government actions, labor disputes, or other force majeure events. The affected party shall give prompt notice and shall use commercially reasonable efforts to mitigate the effect of such event.

CONFIDENTIALITY

Each party acknowledges that, in the course of performing its obligations, it may receive information that is confidential. Each party agrees to keep confidential all non-public proprietary information disclosed by the other party and to use such information only for purposes of performing under this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

INSURANCE; INDEMNIFICATION

Service Provider shall maintain general liability insurance covering its operations at limits customary in the event planning industry. Client may request proof of insurance not less than thirty (30) days prior to the Event.

Each party shall indemnify, defend and hold harmless the other party and its officers, employees and agents from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of its willful misconduct, negligent acts or breaches of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification must be made in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute a waiver of any subsequent breach. Notices required under this Agreement shall be in writing and delivered by hand, certified mail, or other commercially reasonable means.
