GOVERNING LAW

This Certificate shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

WARRANTIES AND LIMITATIONS

Certifying Party represents that the Drawings are accurate to the best of its professional knowledge as of the Completion Date and that the Drawings were prepared in accordance with generally accepted standards for similar services. Except as expressly stated in this Certificate, Certifying Party makes no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. Liability for errors or omissions shall be limited to correction of the Drawings or refund of fees paid for the affected Deliverable, at Certifying Party's election, excluding consequential or incidental damages.

ENTIRE AGREEMENT

This Certificate, together with any referenced contract documents, exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
