What a Certificate of Insurance (COI) is and what it shows

The Certificate of Insurance (COI) is a standardized document issued by an insurer or authorized agent that summarizes coverages, limits, policy numbers, effective and expiration dates, and named insureds. It provides third parties such as clients, landlords, contractors, or event organizers with proof that required insurance policies exist without disclosing full policy terms. A COI is informational only and does not amend the underlying policy; coverage questions require review of the full insurance policy. COIs are commonly requested for contracts, leases, construction projects, and vendor onboarding.

Why a COI matters for contracts and risk control

A COI lets contract counterparties verify insurance requirements quickly, reducing contractual risk and clarifying responsibility for losses. It simplifies vendor onboarding, supports compliance with contract clauses, and serves as a record that insurers, limits, and effective dates meet project or lease specifications.

Why a COI matters for contracts and risk control

Who requests and issues Certificates of Insurance

Typical users include contract managers, risk managers, insurance brokers, procurement officers, and project leads who request or verify Certificates of Insurance.

  • Contract managers — verify vendor insurance meets contractual requirements before awarding work.
  • Risk managers — evaluate limits, endorsements, and loss history for exposure assessment.
  • Insurance brokers — issue COIs and notify carriers if endorsements or limits change.

These roles collaborate to confirm coverage, manage endorsements, and ensure certificates meet contractually required limits and notice provisions.

Essential components to include on a professional COI

A professional COI clearly lists the insurer, covered policy types, limits, effective dates, insured parties, and any endorsements that affect third-party rights or obligations.

Insurer

Name the issuing insurance company and the broker or agent contact, including phone and email. Accurate insurer identification is required for coverage verification and claims reporting.

Policies

List each policy type (general liability, auto, workers' compensation, professional liability) with corresponding policy numbers and carrier names to clarify which risks are covered.

Limits

State per-occurrence and aggregate limits, specifying the dollar amounts and any sublimits. Ensure limits meet contract minimums and note if aggregate reductions apply.

Policy Period

Provide the policy effective and expiration dates in MM/DD/YYYY format. Gaps or imminent expirations must be flagged to prevent coverage lapses during performance.

Endorsements

Identify endorsements such as additional insured status, primary-and-noncontributory language, and waiver of subrogation; include endorsement form numbers where available to confirm scope.

Remarks

Use the remarks section to list certificate holder name, job or project references, policy exclusions of particular concern, and insurer contact instructions for claims or verification.

Step-by-step: request, review, and file a COI

Follow this sequence to request or issue a COI, from initial requirement to delivery and record retention.

  • 01
Verify Requirement: Confirm contract insurance minimums and parties.
  • 02
Request COI: Ask broker or insurer for certificate with required endorsements.
  • 03
Review Details: Check policy numbers, limits, dates, and endorsements.
  • 04
File & Notify: Deliver to certificate holder and archive signed copy.

How COI issuance works in an electronic workflow

Simplified flow for electronic COI issuance and verification using brokers, insurers, and certificate recipients online.

  • Upload Request: Broker uploads policy summary and endorsement copies.
  • Generate COI: System compiles certificate fields from policy data.
  • Attach Endorsements: Attach endorsement forms or reference numbers.
  • Deliver & Audit: Send to holder and record audit trail.

Technical considerations for issuing and storing COIs

Platforms that issue COIs should support PDF, structured fields, secure delivery, and audit trails to document issuance and changes.

  • Formats: PDF, DOCX, and structured templates supported.
  • Security: TLS 1.2/1.3 in transit; AES-256 at rest.
  • Integrations: Common: Salesforce, NetSuite, Google Workspace.

Typical COI workflow settings for automation

Set up a COI workflow to collect policy data, request endorsements, route for approval, and deliver certificates automatically.

Field Configuration
Notify Trigger Email to certificate holder when issued
Required Endorsements Additional insured and waiver of subrogation
Authentication Email link or SMS code for broker verification
Archive Location Cloud storage with versioned audit trail

eSignature vendor pricing and capabilities for COI workflows

Compare common eSignature vendors for COI signing: pricing, trial availability, bulk send, audit trails, and HIPAA compliance across plans.

signNow DocuSign Adobe Sign PandaDoc HelloSign
Starting Price $8/user/mo $15/user/mo $14/user/mo $19/user/mo $15/user/mo
Free Trial Yes, 7-day trial Varies by vendor Varies by vendor Varies by vendor Varies by vendor
Bulk Send Yes Yes Yes Yes No

Electronic signature versus digital (PKI) signature — which fits COIs?

Distinguish electronic signatures from cryptographic digital signatures so you can select the appropriate method for COI delivery and legal requirements.

Criteria Electronic Signature Digital Signature
Definition any electronic mark pki-based cryptographic seal
Legal Status accepted under esign/ueta accepted, stronger non-repudiation
Typical Use contracts, cois, consents high-security, regulated records
Proof of Integrity audit trail and metadata cryptographic hash and cert

Security and compliance features to expect

In transit: TLS 1.2/1.3 encryption
In storage: AES-256 encrypted at rest
SOC 2: SOC 2 Type II certification
PCI DSS: PCI DSS certified for payments
HIPAA: HIPAA compliant; BAA available
eSign Law: ESIGN and UETA compliant

Penalties and risks of incorrect or missing COIs

Coverage Gap: Possible uninsured loss exposure
Contract Breach: Counterparty may suspend work
Claims Denial: Insurer may deny coverage
Financial Penalty: Contractor may face indemnity costs
Project Delay: Work halted until compliance
Reputational Risk: Loss of client trust

Common mistakes that delay COI acceptance

  • Requesting COIs without specifying required endorsements or additional insured language, which forces repeated corrections and delays project start dates.
  • Accepting certificate images lacking attached endorsements or full policy references can mask exclusions and create unexpected coverage gaps when claims occur.
  • Failing to note policy effective and expiration dates in MM/DD/YYYY format increases risk of unrecognized lapses during critical performance periods.
  • Using informal language for limits (for example 'full coverage') instead of numeric per-occurrence and aggregate amounts invites disputes over insurer obligations.

Real-world examples showing COI use with digital workflows

These brief examples show how organizations use COIs and digital workflows to verify coverage and speed contractual processes.

Optica Ventures — COO

Optica Ventures used electronic COIs to accelerate tenant onboarding across multiple properties, reducing manual exchanges and phone follow-ups.

  • Business users signed remotely via mobile and desktop.
  • According to COO Brian Fitzgibbons, the interface's simplicity improved customer experience and reduced processing time; the team required fewer reissued certificates and could confirm coverage before lease execution, lowering operational friction in property management.

Tech Data — CEO

Tech Data integrated COI issuance into their billing and vendor portals to centralize insurance records and speed contract approvals across global teams.

  • Automation reduced turnaround and manual reconciliation.
  • CEO Bob Dutkowsky reported that centralized COI workflows allowed internal teams to validate coverage quickly, decreased time-to-revenue, and reduced exceptions; the result was fewer payment holds and clearer audit trails for vendor compliance reviews.
