Either party may terminate this Agreement for convenience upon days prior written notice. Termination for cause may occur immediately upon material breach by the other party if such breach is not cured within days after written notice.

Refunds and cancellation fees are governed by the Payment Schedule; Participant acknowledges that certain fees are non-refundable where services or materials have been delivered.

Confidentiality

Each party shall maintain in strict confidence all proprietary information disclosed by the other party in connection with the course, including but not limited to training materials, assessment instruments, business processes, and participant data ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, or that is rightfully received from a third party without restriction.

The receiving party shall use Confidential Information solely for the performance of this Agreement and shall not disclose such information except to employees, contractors, or agents on a need-to-know basis who are bound by comparable confidentiality obligations.

Intellectual Property and Materials

All course content, materials, assessments, and intellectual property created or provided by Course Provider remain the exclusive property of Course Provider unless otherwise agreed in writing. Participant is granted a limited, non-transferable license to use materials solely for personal professional development and certification purposes.

Participant represents that all information provided in this registration is true and complete. Participant acknowledges responsibility for meeting any stated prerequisites and for attendance required to qualify for certification. Participant consents to grading, assessment, and verification procedures required by Course Provider.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. Any dispute arising under or relating to this Agreement shall be resolved by binding arbitration or in courts of competent jurisdiction within that state, as elected by Course Provider.

Entire Agreement

This Agreement, together with any enrollment confirmations, payment schedules, and attachments executed by the parties, constitutes the entire agreement between Participant and Course Provider with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

By signing below, Participant certifies that they have read, understand, and agree to be bound by the terms of this Registration and Service Agreement, including payment obligations, confidentiality provisions, and the refund/cancellation policy.
